Governance Explanations

An electronic copy of the form 990 is sent to each member of the governing body and finance committee prior to its submission. Questions are directed to the director of finance and administration who must provide a response before the form is filed.

Form 990, Part VI, Section B, Line 12C

David's house has a conflict of interest policy which requires covered members (board members and staff) to disclose potential conflicts of interest involving themselves, family members and/or related parties. A conflict of interest disclosure is completed by each of these members on an annual basis. The solicitation and collection of disclosure statements is organized by the treasurer on behalf of the executive committee of the board, who submits to the board any statements that disclose a potential conflict of interest. Material matters are required to be addressed by the board of directors; whereupon any action including, but not limited to, restriction would be determined. If the board has reasonable cause to believe that an interested person has failed to disclose actual or possible conflicts of interest, it shall inform such person on the basis for such belief and afford him/her an opportunity to explain the alleged failure to disclose. It is expected that all potential conflicts be immediately disclosed to the president of the board as they become known and that covered persons will abstain from any votes in which they may have a conflict of interest with.

The organization's hr committee consisting of independent members and board members, biannually reviews external comparability data for the executive director and finance director for reasonableness and benchmarking. The hr committee recommends any compensation changes to the executive committee of the board, which authorizes any changes in compensation. This process was undertaken during fiscal year 2016.

Our vision for the use of the organizations's endowment funds is to use the income generated in accordance with donor wishes for mission related activities.

PART X, LINE 2:

The organization adopted the accounting methods under fasb accounting standards codification (asc) subtopic 740-10 for uncertain tax positions (utp) on july 1, 2009. The utp rules prescribe a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken in an organization's tax return. The organization believes that it has appropriate support for the tax positions taken and, as such, does not have any uncertain tax positions that might result in a material impact on the organization's statements of financial position, activities and changes in net assets and cash flows.

THIS IS POSSIBLE DUE TO THE TREMENDOUS SUPPORT OF OUR VOLUNTEERS WHO PROVIDED 2,448 HOURS OF HOSPITALITY SERVICE LAST YEAR. OVER 14,400 GUESTS FROM 42 STATES AND 28 FOREIGN NATIONS HAVE STAYED AT DAVID'S HOUSE SINCE WE BEGAN SERVING FAMILIES IN 1986.
