Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors, by resolution adopted by a majority of the full board of directors, may designate from among its members one or more committees. Each committee, to the extent provided in such resolution, shall have and may exercise any or all of the authority of the board of directors, provided that no such committee shall have the authority of the board of directors in reference to: amending the articles of incorporation; adopting a plan of merger or consolidation; recommending the sale, lease, exchange, or other disposition of all or substantially all the property and assets of the corporation otherwise than in the regular course of its business; recommending a voluntary dissolution of the corporation or a revocation thereof; or amending the bylaws of the corporation. The designation of any such committee and the delegation thereto of authority shall not operate to relieve the board of directors, or any member thereof, of any responsibility imposed by law.

The bylaws have updated the language for the treasurer role: "the treasurer shall be the lead director for oversight of the financial condition and affairs of the corporation. The treasurer shall oversee and keep the board informed of the financial condition of the corporation and audit or financial review results. In conjunction with other directors or officers or staff, the treasurer shall: (a) oversee budget preparation and shall provide appropriate financial reports to the board on a timely basis or as may be required by the board; (b) shall oversee the deposit, investment, and disbursement of all funds and securities of the corporation; and (c) shall, in general, perform all of the duties incident to the office of treasurer and such other duties as from time to time may be assigned to the treasurer by the president or by the board of directors."

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

PART X, LINE 2:

Adoption rhode island is exempt from income taxes under code section 501(c)(3) of the internal revenue code. Accounting principles generally accepted in the united states of america require agency management to evaluate tax positions taken by the agency and recognize a tax liability (or asset) if the agency has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. Management has analyzed the tax positions taken by the agency and has concluded that as of june 30, 2025, there are no uncertain tax positions taken or expected to be taken that would require recognition of liability (or asset) or disclosure in the financial statements. The agency is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
