The 990 is distributed to the director of finance. The 990 is then reviewed by the audit committee.

Form 990, Part VI, Section B, Line 12C

In cases of conflict or the appearance of conflict, the organization's board members will disclose such conflict prior to taking any action that might be influenced or appear to be influenced by it. Once that disclosure has been made known, the remaining members of the board will determine whether a conflict exists or whether there is a potential for such conflict. The board shall not enter into contracts with (1) its directors, (2) directors of related organizations or (3) organizations with which a director has a material financial interest unless (a) that interest is disclosed or known to the board (b) the board approves, authorizes or ratifies the action in good faith (c) the approval is by a majority of the directors (not counting the interested director) (d) a quorum of the board is present (not counting the interested director). In such cases the interested director may be present at related board meetings to answer questions about the financial relationship but may not advocate for the action to be taken. If a vote is to be taken the interested director should leave the room. The minutes shall clearly reflect that these requirements have been met.

Form 990, Part VI, Section B, Line 15

On an annual basis, the board of directors reviews agency accomplishments and determines compensation levels for the following year.

Financial Statement Notes

PART X, LINE 2:

The organization is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code and is exempt from federal income taxes on related income pursuant to section 501(a) of the code. The organization is, however, subject to the tax on unrelated business income, if any such income exists. The organization had no unrelated business income during the years ended june 30, 2015 and 2014. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a). The organization recognizes and measures its unrecognized tax positions and assesses the likelihood, based on their technical merit, that tax positions will be sustained upon examination based on the facts, circumstances and information available at the end of each period. The measurement of unrecognized tax positions is adjusted when new information is available, or when an event occurs that requires a change. Interest and penalties associated with unrecognized tax positions, if any, would be classified as additional income taxes in the consolidated statements of activities. The organization did not identify any uncertain tax positions at june 30, 2015 and 2014. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any periods in progress.

PART XI, LINE 2D - OTHER ADJUSTMENTS:
