Mission

Wamc is chartered by the new york state board of regents to "furnish, prepare and present non-profit and non-commercial educational, instructional and cultural radio programs and also non-profit and non-commercial programs (wamc's mission is continued on schedule 0) including without limitation, chamber and folk music programs and forums on public affairs for live audiences which may also be broadcast."

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The cpa/preparer reviews a draft copy of the form 990 with wamc's executive committee of the board and any proposed committee changes are completed. Subsequently, but prior to filing, the form 990 is distributed to the entire board.

Form 990, Part VI, Section B, Line 12C

Wamc maintains a conflict of interest policy under which officers, trustees, and key employees are required to disclose annually any interests which might give rise to conflicts. In addition, trustees are required to disclose potential conflicts to other board members at all meetings. Separately, a questionnaire is required by the federal communications commission (on a bi-annual basis) in which trustees are required to disclose conflicts and certain other matters.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of trustees has the responsibility to set the compensation of wamc's president / ceo and, also, conduct an annual performance review. The committee periodically (no less than every three years) evaluates compensation, and obtains and reviews information on compensation in comparable organizations (see schedule j, part a). The committee also reviews and approves compensation for wamc's other highly compensated employees. Form 990, part vii, section a: dr. Chartock, the president / ceo of wamc, also serves as a trustee. His compensation, however, relates solely to his role as president / ceo. No trustees of wamc receive any compensation for their role as an officer and/or trustee.

Financial Statement Notes

PART X, LINE 2:

Wamc, which is exempt from income taxes under section 501-c(3) of the internal revenue code, follows guidance issued by the financial accounting standards board regarding accounting for uncertainty in income taxes. The income tax positions taken by wamc for any years open under the various statutes of limitations are that wamc continues to be exempt from income taxes and that wamc may, from time-to-time, record gross revenue from certain activities which are considered an unrelated business actitity under the internal revenue code. None of wamc's federal or state income tax returns is currently under examination by the internal revenue service or state authorities.
