Governance Explanations

Form 990, Part VI, Section A, Line 2

A family relationship exists between a board member and officer. The secretary, latonya bland-tull, is the niece of board member cynthia bagwell.

Form 990, Part VI, Section B, Line 11B

Management reviews the return and a copy of form 990 will be provided to board members prior to filing. The audit is available for questions and answers.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed by the board of directors and officers annually. The conflict of interest policy is also a part of the organization's employee handbook and is presented to the staff annually. The board chair, executive director, or personnel committee of the board would deal with any conflicts of interest. The board and executive staff monitor the conflict of interest policy and legal council is consulted if necessary. Compliance with the policy is done quarterly and at the time of election of board officers. Most of our board members are retired teachers, ministers, business people.

Form 990, Part VI, Section B, Line 15

Board members are not compensated as board members are volunteers. Compensation for staff is dependent upon annual contracts. The organization would base any salary increase for the executive director according to either of the following two methods 1) 1.5% cost of living adjustment that was allowed by the state of new jersey, division of family development 2)the director's salary chart of the state of new jersey, division of family development, camden city board of education guidelines which is based on number of classrooms, years of services and qualifications. There were no salary increases in 2023

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The agency recognizes and measures its unrecognized tax positions and assesses the likelihood, based on their technical merit, that tax positions will be sustained upon examination based on the facts, circumstances, and information available at the end of each period. The measurement of unrecognized tax positions is adjusted when new information is available, or when an event occurs that requires a change. Interest and penalties associated with unrecognized tax positions, if any, would be classified as interest expense and additional income taxes, respectively, in the consolidated statement of activities. The agency did not identify any uncertain tax positions for the year ended december 31, 2023 or 2022. The agency is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any periods pending or in progress.
