“The organization is governed by a voluntary board of directors and policy council who provide governance and oversight, elect members to the board and review programatic and fiscal activities. The board and policy council hold regularly scheduled meetings in accordance with the organizations by-laws. Minutes are recorded at each meeting and approved at the following meeting.”

“The vp/chief financial officer and the president/chief executive officer review form 990 to ensure accuracy and completeness. The board of directors also receives the form 990 for review and approval prior to filing.”

“The board of the organization has adopted a conflict of interest policy that is similar to the one contained in the instructions for filing irs form 1023. All board members, officers and key employees are required to sign an annual statement that they have received a copy of the policy and that they understand the policy and agree not to engage in activities that could result in a conflict of interest.”

“The organization uses a comparability study prepared by an independent company to determine the compensation of management, key employees and staff. Compensation is limited by the terms of contracts with federal and state awarding agencies. Prior to each board meeting, management presents salary information to the finance committee of the board which approves compensation including merit increases.”
