Governance Explanations

Form 990, Part VI, Section B, Line 11

Form 990 is presented to the executive director and treasurer for comments, changes, etc. The form 990 is then presented at a board meeting for review and approval before submission.

Form 990, Part VI, Section B, Line 12C

The organization enforces its conflict of interest policies with periodic reviews by the board of trustees. Compensation arrangements and benefits are reviewed for reasonableness and occured as a result of arms length bargaining. When conducting the periodic reviews the organization may, but need not, use outside advisors. If outside experts are used, their use does not relieve the trustees of their responsibility for ensuring that the periodic reviews are conducted.

Form 990, Part VI, Section C, Line 18

Form 1023 and form 990 are available upon request. They are also posted on the organization's website (www.sageeldercare.org) and on other charity websites (guide star).

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public with the receipt of a written request addressed to the executive director or board of trustees.

Financial Statement Notes

PART X, LINE 2:

The organization qualifies as a tax-exempt organization under section 501(c)(3) of the internal revenue code and, accordingly, is not liable for federal and state income taxes. The organization follows standards that provide clarification on accounting for uncertainty in income taxes recognized in the organization's financial statements. The guidance prescribes a recognition threshold and measurement attribute for the recognition and measurement of a tax position taken or expected to be taken in a tax return, and also provides guidance on derecognition, classification, interest and penalties, disclosure and transition. The organization's policy is to recognize interest and penalties on unrecognized tax benefits in income tax expense. No interest and penalties were recorded during the years ended december 31, 2014 and 2013. The tax years subject to audit by federal and state jurisdictions are the years ended december 31, 2011 and forward. At december 31, 2014 and 2013, there are no significant income tax uncertainties.
