Governance Explanations

Form 990, Part VI, Section A, Line 4

The board of directors amended the by-laws in september 2023. The changes to the by-laws include a change in the composition of the governing body's members, increasing the number of standing committees by the addition of a diversity, equity, and inclusion committee.

Form 990, Part VI, Section B, Line 11B

The form 990 is a prepared by an outside accounting firm. The audit committee and treasurer review the form 990 and make a recommendation to the board to approve the return. The board is provided a public inspection copy of the form 990 prior to filing with the irs (schedule b is redacted from the copy reviewed by the board).

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy applicable to the board of trustees. Trustees have a duty to disclose any actual or potential conflicts of interest with the board. After disclosure of any contract or transaction involving a conflict of interest, the board will make a determination on whether to approve the contract or transaction. A person who has a conflict of interest may not participate in the board's discussion on the matter, except to disclose material facts, and may not vote on the contract or transaction. The discussion and deliberation is to be reflected in the minutes of the meeting. Each trustee is required to review a copy of the conflict of interest policy on an annual basis and to acknowledge in writing that he or she has done so. In addition, each trustee is required to complete an annual questionnaire to disclose any potential conflicts of interest. The disclosure forms are provided to the chair of the board, who is responsible for the implementation of the policy.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of trustees reviews and determines compensation of the head of school. Market analysis is performed using comparability data from forms 990 of other organizations and industry surveys, including salary levels of member schools part of the new jersey association of independent schools. Deliberations and decisions regarding compensation are contemporaneously documented in the schools' records. The compensation of the director of finance and operations is determined by utilizing comparability data from member schools part of the new jersey association of independent schools. Annually, the board of trustees approves the compensation increases. The approval is documented in an employee agreement. The process as outlined above was last conducted in 2024.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990, governing documents, conflict of interest policy, and financial statements available to the public upon request. The form 990 is also available on guidestar.org and similar websites.

IRS990/Desc0FAR BROOK SCHOOL IS AN INDEPENDENT DAY SCHOOL LOCATED IN SHORT HILLS, NEW JERSEY. THE SCHOOL PROVIDES ELEMENTARY EDUCATION FOR BOYS AND GIRLS IN NURSERY THROUGH GRADE EIGHT.OUR APPROACH TO EDUCATION EMBRACES THE FOLLOWING TENETS OF PROGRESSIVE EDUCATION:1. THEME-BASED CURRICULUM: TEACHING THROUGH THEMES EMPHASIZES DEPTH OVER BREADTH, ALLOWING STUDENTS TO BECOME EXPERTS ON THAT TOPIC.2. HANDS-ON LEARNING: LEARNING IS EXPERIENTIAL AND ACTIVE. STUDENTS CONSTRUCT THEIR OWN KNOWLEDGE THROUGH MEANINGFUL EXPERIENCES, GUIDED BY PASSIONATE EDUCATORS.3. AN APPRECIATION FOR NATURE: FAR BROOK'S UNIQUE WOODED CAMPUS PROVIDES AN OPPORTUNITY FOR LEARNING WITHOUT WALLS. AT FAR BROOK, A BIRD'S NEST DISCOVERED IN A TREE BECOMES A SCIENCE LESSON; A SOUND HEARD IN OUR WETLANDS HABITAT BECOMES A POEM.4. COLLABORATION: COLLABORATION IS EMPHASIZED. STUDENTS LEARN TO WORK WITH OTHERS FROM DIVERSE GRADES, EXPERIENCES, LEARNING STYLES, AND THINKING, WHETHER SOLVING A PROBLEM IN ALGEBRA, ACTING ON STAGE, BUILDING A BENCH IN WOODSHOP, OR PASSING THE BALL ON THE SOCCER FIELD.5. LEARNING THROUGH THE ARTS: INTEGRATING THE ARTS WITH ACADEMICS, TECHNOLOGY, AND PHYSICAL EDUCATION HAS BEEN AT THE HEART OF FAR BROOK'S PHILOSOPHY SINCE 1948. EXPERIENCED FACULTY SPARK CURIOSITY ABOUT OUR WORLD AND INSPIRE STUDENTS TO EXAMINE COMPLEX QUESTIONS AND MAKE CONNECTIONS ACROSS DISCIPLINES.6. SOCIAL JUSTICE: A FAR BROOK EDUCATION TEACHES CHILDREN TO NOT ONLY BE EXCELLENT LEARNERS, BUT EXCELLENT PEOPLE. STUDENTS FIND THEIR VOICE AND THE CONFIDENCE TO BECOME CHANGEMAKERS, COMPASSIONATE LEADERS, AND ETHICAL CITIZENS.FAR BROOK'S IMPACT LASTS A LIFETIME.

IRS990/MissionDesc0TO CREATE A SUPPORTIVE AND CARING COMMUNITY THAT CHERISHES LOVE OF LEARNING, CREATIVITY, AND INDIVIDUALITY, AND THAT PROVIDES TEACHERS AND STUDENTS WITH BOTH SUPPORT AND FREEDOM TO TAKE RISKS IN ORDER TO REACH THEIR FULL POTENTIAL. A FAR BROOK EDUCATION TAKES PLACE IN AN ENVIRONMENT OF NATURAL BEAUTY AND INTIMACY, WHERE CHARACTER AND CITIZENSHIP ARE VALUED AS MUCH AS ACHIEVEMENT. IMPLICIT IN OUR PHILOSOPHY IS THE GOAL OF BRINGING STUDENTS TO THEIR HIGHEST LEVEL OF ACADEMIC AND PERSONAL COMPETENCY, BOTH FOR THEIR PRESENT AND IN PREPARATION FOR THEIR FUTURE EDUCATION. IT IS OUR DESIRE TO TOUCH THE LIFE OF EVERY CHILD SO THAT HE OR SHE MAY LIVE LIFE WISELY AND WITH GREAT JOY.
