“The form 990 is prepared by an outside accounting firm. The 990 is shared for review by the executive committee of the board for comment and feedback to the cfo. The completed return is made available to the members of the board of trustees for review via the electronic portal, boardable. The executive committee considers feedback, if any, and approves the form 990 to submit for e-filing with the irs.”

“The school currently has in place a conflict of interest policy which the board annually monitors and enforces. The board mandates each trustee, officer and key employee of the school to annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. In connection with any actual or possible conflict of interest, an interested person discloses the existence of the interest and is given the opportunity to disclose all material facts to the executive committee. After disclosure of the interest and all other material facts, and after any discussion with the interested person, the executive committee will review the conflict and determine if the conflict disqualifies the trustee/committee member from participating in discussions of, or voting on, a transaction or otherwise participating in a particular decision of the board or relevant committee. Despite a trustee/committee member's conflict, the board of trustees may authorize or ratify the conflicted transaction by a majority of votes cast. The existence and resolution of the conflict will be documented in the school's records, including in the minutes of any meeting at which the conflict was discussed or voted upon.”

“The school participates in various annual compensation surveys with comparable schools to determine the fair compensation for officers and key employees. The comparison groups include various day schools with similar demographics, similar budgets, size, etc. Annually, the compensation committee reviews and compares national and regional head of school compensation data which includes salary, executive level and general benefits. The data is gathered through and obtained from index and nais. The head of school's performance is evaluated annually by the compensation committee as designated by the board of trustees. The head of school conducts a performance review of other officer and key employees on an annual basis. Data obtained from index and nais is reviewed and compared to determine or support the level of compensation and increases. The compensation of the head of school stated in the employment contract is reviewed by the compensation committee of the board no less than 3 years. The head of school performance is evaluated annually by the compensation committee. The committee together with the head of school establishes goals and objectives each contract year.”

“The school makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, and form 990 are also available upon written request.”
