Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is compromised of the president/ceo and the following board members: chief volunteer officer, vice-cvo, treasurer, and secretary. The executive committee serves as an advisory committee for the board at large but is not granted any decision-making authority.

Form 990, Part VI, Section B, Line 11B

The preliminary form 990 is reviewed by the finance committee for accuracy and to clarify any points. The finance committee then recommends acceptance of the form 990 to the board. The board is provided a copy of the form 990 and they vote on the acceptance.

Form 990, Part VI, Section B, Line 12C

Each january all board members are required to sign the conflict of interest policy and there is a checklist indicating compliance with this. For new board members, the signing of the policy is part of their orientation process. In the event that there is a perceived conflict, it is discussed at the executive committee level. To ensure that there is no conflict with vendors, 3 sealed bids are obtained for projects and bids are awarded based on pricing, experience and expertise. These bids are kept in a binder by vendor which is maintained by the facility manager.

Form 990, Part VI, Section B, Line 15

The ceo has annual goals and objectives that are compiled by the executive committee and the ceo. The goals and objectives are reviewed semi-annually, with the last review also being the assessment for compensation. Compensation is determined by reviewing the ymca of the usa salary ranges for comparable budget size as well as reviewing salaries paid to executive positions for similar nonprofit organizations. The cfo and coo have annual goals that are compiled by the ceo and the employee. The goals are reviewed semi-annually, with the last review also being the assessment for a merit increase. The merit increase is based on the performance rating. The cfo's review and compensation process is the same as all other full-time staff with the exception of the ceo who follows a process set by the board of directors.

The board of directors appoints the finance committee to review the audited financial statements prepared by an independent auditor.

Financial Statement Notes

PART V, LINE 4:

Earnings, such as interest and dividends, from the permanent endowment are expendable but restricted to use for camp scholarships for families who cannot otherwise provide their children with a camping experience. The change in market value of the invested funds is charged to temporarily restricted net assets. Earnings on the board of directors designated endowment fund are to be fully distributed for general operating purposes. However, the board of directors designated endowment fund, or a portion thereof, may be used by the y, and only then, upon at least a 75% vote of the board of directors.

PART X, LINE 2:

U.s. Gaap requires management to evaluate tax positions taken by the y and recognize a tax liability if the y has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. Management evaluated the y's tax positions and concluded that the y had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance.
