Governance Explanations

Form 990, Part VI, Section A, Line 2

Executive director and outreach director are related. The executive director is the father of the outreach director. The outreach director is managed by the executive director and the board of directors to avoid any potential conflicts of interest. Both positions are accountable to the board of directors and are of the highest caliber employees. One board member owns a construction company that is contraced to do work at the camp.

Form 990, Part VI, Section B, Line 11B

An independent accountant prepares the documents unsing the financial reports of the organization. The reports are produced with quickbooks non-profit, which provides the statements of income and expense and functional expenses for the form 990. The independent accountant consults with the board treasurer, bookkeeper and the executive director when necessary. Once the form 990 and associated schedules are completed they are forwarded to the treasurer and board review. The treasurer then makes available the completed reports to all board members and directors for their review. If corrections are necessary, they are reviewed with the independent accountant and changed when necessary. The independent account then submits them to the irs. A copy of all previous years filings are kept with eachother and the company's financial recors in the company's office.

Form 990, Part VI, Section B, Line 12C

At the annual meeting in november, each officer and director must disclose all possible conflicts of interest. Due to our small size, all board members, officers, and directors are also involved as voluteers at the camp and abide by the bylaws of clydehurst christian ranch, inc., and are keenly aware of any possible conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Compensation is determined by the board officers without the presence of any employees or the executive director. Local area salaries and wages are considered as well as like position in other parts of the country.

Form 990, Part VI, Section C, Line 19

All records are kept at the clydehurst christian ranch, inc. Offices located at 328 shiloh rd. Ste 1, billings, mt 59106. Copies are also retained by the treasurer with the current year financial books. These records are made available, upon request, to whomever wishes to review for a reasonable purpose. These forms are also available at the quarterly board meeting. Minutes of the board meetings including motions made and accepted, and any new changes are recorded and implemented. The articles of incorporation and bylaws govern all ethical issues, including conflict of interest. It is a future goal to have this information available on-line via the website clydehurst.com.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0EXECUTIVE DIRECTOR AND OUTREACH DIRECTOR ARE RELATED.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1AN INDEPENDENT ACCOUNTANT PREPARES THE DOCUMENTS UNSING THE FINANCIAL REPORTS OF THE ORGANIZATION.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2AT THE ANNUAL MEETING IN NOVEMBER, EACH OFFICER AND DIRECTOR MUST DISCLOSE ALL POSSIBLE CONFLICTS OF INTEREST.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3COMPENSATION IS DETERMINED BY THE BOARD OFFICERS WITHOUT THE PRESENCE OF ANY EMPLOYEES OR THE EXECUTIVE DIRECTOR. LOCAL AREA SALARIES AND WAGES ARE CONSIDERED AS WELL AS LIKE POSITION IN OTHER PARTS OF THE COUNTRY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4ALL RECORDS ARE KEPT AT THE CLYDEHURST CHRISTIAN RANCH, INC.
