The conflict of interest policy applies to any interested persons (persons who was in a position to exercise substantial influence over the organization at any time during the five year period ending on the date of the transaction, their family members and the entities in which they own more than 35% of the voting power of the entity). Interested persons have a duty to disclose potential conflicts and all directors and officers are required to review the conflict of interest policy and sign a related statement on an annual basis. Review of potential conflicts of interest are performed by the board of directors or a committee of the board of directors. Interested persons may not participate in the discussion or vote on the potential conflicts.

Blue planet foundation (foundation) is recognized by the internal revenue service as an exempt organization under section 501(c)(3) of the internal revenue code. The foundation recognizes the financial statement effects from a tax position only after determining that the relevant tax authority would more likely than not sustain the position after an audit based on the technical merits of the position. THE ORGANIZATION HAS BEEN IN OPERATION FOR APPROXIMATELY 7 YEARS, AND WHILE IT HAS STRIVED TO OBTAIN 33 1/3% OF ITS REVENUES FROM THE GENERAL PUBLIC, IT HAS FALLEN SHORT AND HAS RELIED ON A SINGLE SUBSTANTIAL DONOR. THIS HAS ENABLED THE ORGANIZATION TO CONTINUE OPERATING ITS EXEMPT PURPOSE PROGRAMS AND EVENTS THAT DIRECTLY BENEFIT THE GENERAL PUBLIC WHILE WORKING TO GROW ITS DONOR BASE. OVER THE COURSE OF THE PAST FIVE YEARS, ITS PUBLIC SUPPORT PERCENTAGE HAS GROWN ON AN ANNUAL BASIS (ACHIEVING 34.5% IN 2014), AND THE ORGANIZATION IS OPTIMISTIC IN ITS CONTINUED GROWTH SUPPORTED BY AN ENGAGED BOARD OF DIRECTORS AND AN INCREASED CAPACITY FOR FUNDRAISING. PERCENTAGE OF FINANCIAL SUPPORT AND SOURCES OF PUBLIC SUPPORT: THE ORGANIZATION IS A YOUNG ORGANIZATION THAT RELIES ON CHARITABLE CONTRIBUTIONS TO OPERATE ITS EXEMPT PURPOSE PROGRAMS. THE ORGANIZATION HAS WORKED TO PROMOTE ITS EXEMPT PURPOSE TO THE GENERAL PUBLIC AND GROW ITS DONOR BASE, WHICH HAS BEEN A DIFFICULT TASK DUE TO ONGOING ADVERSE ECONOMIC CONDITIONS. HOWEVER, THE ORGANIZATION WAS THE BENEFICIARY OF A DONOR WHOSE CONTRIBUTIONS EXCEEDED 2% OF ITS SUPPORT THAT HAS NOT BEEN INCLUDED IN ITS SUPPORT TEST, WHICH HAS ALSO RESULTED IN THE ORGANIZATION NOT MEETING ITS 33 1/3% SUPPORT TEST. THE ORGANIZATION'S DONOR BASE HAS GROWN ANNUALLY SINCE INCEPTION AND ITS REMAINING 26.06% (FIVE-YEAR AVERAGE) PUBLIC SUPPORT HAS BEEN GENERATED FROM THE CONTRIBUTIONS OF VARIOUS INDIVIDUALS, BUSINESSES, GOVERNMENT, AND OTHER PUBLICLY SUPPORTED CHARITABLE ORGANIZATIONS. SUCH DONORS INCLUDE THE SOLAR ENERGY COMPANIES, THE ATHERTON FOUNDATION, THE COOKE FOUNDATION, HONOLULU CLEAN CITIES, BILL HEALY FOUNDATION, ULUPONO INITIATIVE, AND OTHER CHARITABLE FOUNDATIONS. GRANTS RECEIVED FROM THE ATHERTON FOUNDATION AND ULUPONO INITIATIVE REQUIRE REGULAR, RIGOROUS REPORTING ON THE ORGANIZATION'S PROGRESS. THE ORGANIZATION HAD ALSO OBTAINED THE ASSISTANCE OF PROFESSIONALS TO ASSIST WITH DONOR CULTIVATION TO FURTHER IMPROVE ITS SUPPORT FROM INDIVIDUALS. REPRESENTATIVE GOVERNING BODY: THE ORGANIZATION'S BOARD OF DIRECTORS IS A DIVERSE GROUP THAT NOT ONLY REPRESENTS THE BROAD INTEREST OF THE GENERAL PUBLIC BUT ALSO BRINGS TO THE ORGANIZATION EXPERTISE FROM PUBLIC OFFICIALS, COMMUNITY LEADERS, AND INDUSTRY LEADERS IN THE FIELD OF RENEWABLE ENERGY. THE BOARD INCLUDES, AMONG OTHERS, A FORMER GOVERNOR OF THE STATE OF HAWAII, THE DEAN OF UNIVERSITY OF HAWAII'S ENGINEERING COLLEGE, A FORMER BANK CEO, AN OWNER OF A RENEWABLE ENERGY COMPANY, AN EXPERT IN RENEWABLE ENERGY, AND THE CHANCELLOR EMERITUS OF THE UNIVERSITY OF HAWAII. AVAILABILITY OF PUBLIC FACILITIES OR SERVICES: ON A CONTINUING BASIS, THE ORGANIZATION PROVIDES ENERGY EFFICIENCY ENGAGEMENT SERVICES TO THE GENERAL PUBLIC AND ONGOING EDUCATION PROGRAMS TO PUBLIC SCHOOLS AND OTHER ORGANIZATIONS.
