All covered persons must submit a disclosure questionnaire and an affirmation of compliance to nyec's compliance officer disclosing any potential or actual conflicts of interest. Nyec's compliance officer provides a copy of all disclosure questionnaires to the audit and compliance committee. The board will review all actual and potential conflicts of interest and related party transactions and determine whether to approve or ratify any such matters. All decisions or votes related to any actual or potential conflicts are documented in the minutes of the board meeting. Each covered person shall annually sign an affirmation of compliance which affirms receipt of a copy of the conflicts of interest policy; has read and understands the policy; has agreed to comply with the policy; and agreed to file a supplemental disclosure questionnaire whenever a potential conflict arises. The decision of any actual or potential conflict of interest is documented in the minutes of the board meeting.”
