Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization emails form 990 to all board members for written approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The board of directors shall enforce a policy on conflicts of interest and self-dealing that requires a disclosure by all directors and officers of the corporation and other persons in a position to influence corporate decisions of actual and potential conflicts of interest and that will assure that no person holding such a position will be permitted to vote on any issue, motion, or resolution that directly or indirectly inures to his or her benefit financially or with respect to which he or she shall have any other conflict of interest, except that such individual may be counted in order to qualify a quorum, and except as the board may otherwise direct, may participate in a discussion of such an issue, motion, or resolution if he or she first discloses the nature of his or her own interest.

Form 990, Part VI, Section B, Line 15A

Compensation is set after researching comparability data and is then reviewed and approved by board members. In addition to the requirements of the compensation review policy applicable to all covered individuals, the board reviews the compensation of officers upon (i) hiring; (ii) whenever the term of employment, if any, is renewed or extended; or (iii) whenever the compensation is modified, unless the modification extends to substantially all of vad's employees, as required by california law.

Form 990, Part VI, Section C, Line 19

The organization makes its documents available upon request.
