“The organization has two classes of members, (1) members and (2) honorary members. Members of the organization shall be former leaders of the young presidents organization (ypo), who reached the age of forty-eight and who have been recommended for membership by the membership committee. Prospective members must be approved by the board of directors. Honorary members are either former members of the ypo selected for their singular contribution to ceo or non-ypo members selected for distinctive accomplishments in their respective fields.”

“Directors of the board are elected by the membership at its annual meeting.”

“Members are entitled to vote on all matters raised at meetings of the members of the organization. The annual meeting of the members is held at the site and time of an event held at the end of the fiscal year for the purpose of electing directors and transacting other business.”

“The organization provides the secretary/treasurer with a copy of the form 990 and it was made available for review by the board of directors.”

“A questionnaire is sent annually to every ceo board member. They are asked a series of questions including whether they have a business or family relationship with any other officer, director, trustee, or key employee of the organization. They are also asked to describe any business transactions, including dollar amount and percentage of ownership, made with the conflicting party. Any family members who are employed by the organization are also disclosed.”

“For the president and ceo, comparability data is anaylyzed and comepsation is recommended by the comepsation committee, which consists of the current international chair, international chair-elect, senior vice chair, senior vice chair-elect, immidiate past international chair, and the international finance chair, and approved by the executive committee, which may exercise the authority of the board in this matter. A performance review is conducted annually, immidiately following the close of the fiscal year, by the compensation committee and approved by the executive committee. For senior management and staff, the presicent & ceo makes recommendations to the compensation committee, who will then approve, disapprove, or provide recommendations.”
