“The organization has two classes of members, (1) members and (2) honorary members. Members of the organization shall be former leaders of the young presidents organization (ypo), who reached the age of forty-eight and who have been recommended for membership by the membership committee. Prospective members must be approved by the board of directors. Honorary members are either former members of the ypo selected for their singular contribution to ceo or non-ypo members selected for distinctive accomplishments in their respective fields.”

“Members are entitled to vote on all matters raised at meetings of the members of the organization. The annual meeting of the members is held at the site and time of an event held at the end of the fiscal year for the purpose of electing directors and transacting other business.”

“The organization provides the secretary/treasurer with a copy of the form 990 and it was made available for review by the board of directors.”

“A questionnaire is sent annually to every ceo board member. They are asked a series of questions including whether they have a business or family relationship with any other officer, director, trustee, or key employee of the organization. They are also asked to describe any business transactions, including dollar amount and percentage of ownership, made with the conflicting party. Any family members who are employed by the organization are also disclosed.”

“For the president & ceo, comparability data is analyzed and compensation is recommended by the compensation committee, which consists of the current international chair, international chair-elect, senior vice chair, senior vice chair-elect, senior vice-chair elect-elect, and the current international finance chair, and approved by the executive committee, which may exercise the authority of the board in this matter. A performance review is conducted annually, immediately following the close of the fiscal year, by the compensation committee and approved by the executive committee. For senior management and staff, the president & ceo makes recommmendations to the compensation committee, who will then approve, disapprove or provide modifications.”
