Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is drafted by the auditors, relying on the organization's audited financial statements, and on documents and other information provided by the organization. It is then reviewed in detail by the md, finance & operations and the senior finance manager, and any concerns are resolved by iteration between these officials and the auditors. Finally, the form is distributed to all board members, from whom questions and concerns are solicited for resolution before the form is filed with the irs.

Form 990, Part VI, Section B, Line 12C

A copy of the conflict of interest policy is distributed annually and a statement disclosing any conflicts is completed by officers, directors and key employees. The annual disclosures are reviewed for completeness by the md, finance & operations (mdfo), and all disclosed interests are referred to the full executive committee (ec), together with any relevant context. The ec determines whether a conflict exists, and if so, what action should result (individual ec members abstain from voting on their own interests). The ec and the mdfo try to prevent conflicts arising in advance, rather than address them after the event. However, if a conflict were determined to exist the action taken would be determined by the particular circumstances.

The executive committee determines ceo compensation, and advises the ceo on compensation for other positions. A reasonable range of compensation for all officers and key employees is determined based on a combination of comparative analysis by industry and position, forms 990 of comparable organizations, and advice from independent specialists. This process was last performed in 2014 and will be performed again in 2016.

During 2015, management determined that a transaction reflected in the financial statements as an agency transaction in 2014 should have been recognized as contributions and grants revenue and grants expense for the portion awarded to a subgrantee. As a result, contributions and grants revenue and grants expense for the year ended december 31, 2014, were each understated by $3,283,882. Management made a prior period adjustment to appropriately recognize the contributions and grants revenue and grants expense during the year ended december 31, 2014. During 2015, management determined that a grant awarded in 2014 had not been recognized as contributions and grants revenue until 2015. As a result, contributions and grants revenue was understated by $2,750,000 for the year ended december 31, 2014, and was overstated by the same amount for the year ended december 31, 2015. Management made a prior period adjustment to appropriately recognize the contributions and grants revenue during the year ended december 31, 2014.
