Governance Explanations

Form 990, Part VI, Section A, Line 4

The Articles of Incorporation have been amended to reflect the organization's change of name from NightLight Ministry to NightLight International.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by a tax preparer and reviewed by the Chief Operations Officer prior to submission.

Form 990, Part VI, Section B, Line 12C

The CEO and COO monitor transactions. Any potential conflicts of interest identified are brought to the board's attention and the member with the conflict excuses himself from the decision making process. The remaining board members then vote to decide whether the transaction is in the best interest of the organization. Board members and officers are required to disclose potential conflicts of interest on whenever they might occur.

Form 990, Part VI, Section B, Line 15

The NightLight Ministry independent board approves the salaries of the CEO and COO during the annual budget process. Comparability data regarding the salaries is provided to the Board at this time and any discussion and decisions made are recorded in the board minutes.

Form 990, Part VI, Section C, Line 19

The Form 1023 and Form 990 are available upon request during regular business hours at the office of records.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0During November of 2016, the Atlanta location and programs were transitioned from Nightlight to another organization in Atlanta.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The Articles of Incorporation have been amended to reflect the organization's change of name from NightLight Ministry to NightLight International.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2The 990 is prepared by a tax preparer and reviewed by the Chief Operations Officer prior to submission.
