Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees that have authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The database administrator, director of finance, and vp of finance & operations all review the 990 and get a draft that is ready to be filed with the irs. The draft is submitted to the board for review, they vote to approve it being filed. The draft is then turned into a final copy and submitted to the irs.

Form 990, Part VI, Section B, Line 12C

The first meeting of each calendar year, directors recertify their conflict of interest statement (code of conduct) and review any potential conflicts with the full board. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the material facts, and after any discussion with the interested person, he/she shall leave the meeting while the determination of a conflict of interest is discussed and voted upon. The remaining members shall decide if a conflict of interest exists. The deliberation and decision regarding conflicts of interest are disclosed in the board minutes or as appropriate.

Form 990, Part VI, Section B, Line 15

Each year we evaluate compensation for the ceo (president), the board reviews current salary, proposes and votes on a change, a comparability study is reviewed in the process. At least annually, compensation for all employees, including officers and key employees, is evaluated based on work performance, any change in role and economic factors. A comparability study is consulted (nonprofit compensation report). Any change in salary is decided on with the vp of finance & operations and the employee's supervisor, approved by the president, paperwork noting the change is filled out and kept on record. The process described here was last completed in 2023.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

Additional Explanations

Form 990, Part III, Line 3

Went from three main program activities (proclaim the gospel, catalyze gospel partnerships, and equipping believers) to two. These two core missional pillars are reach the lost and unleash the evangelist. Our main program activity falls under these core pillars, and are categorized as evangelistic campaigns and evangelistic training.

FORM 990, PART XII, LINE 2C:

The board of directors oversees and selects the independent audit firm to conduct the organization's financial statement audit.

FORM 990: PART IX, LINE 25:

Pulse is funded primarily by contributions from individuals, foundations, businesses, and churches. After going through explosive growth for six years, we have made a shift to try to build into the infrastructure and facilities, realizing that would affect our program spend ratios, but we believe the long-term impact will be worth the investment. Pulse has the highest ranking on charity navigator, a candid gold seal of transparency, the excellence in giving transparency certification, and is in good standing with the ecfa.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income taxes under section 501(c)(3) of the internal revenue code and minnesota statute 290.05. Because the organization is a public charity, contributions to it may be deductible for income tax purposes. Management believes that it is not reasonably possible for any tax position benefits to increase or decrease significantly over the next 12 months. As of june 30, 2023 and 2022, there was no income tax related accrued interest or penalties recognized in either the statements of financial position or the statements of activities. The organization files information returns in the u.s. Federal jurisdiction, and in the minnesota, north dakota, and wisconsin state jurisdictions. No returns are currently under examination in any tax jurisdiction.

ON CAMPUSES AND AT FESTIVALS, IN STADIUMS AND ARENAS, FROM LATIN AMERICA, TO EASTERN EUROPE, AND ACROSS AMERICA, BOTH IN PERSON AND DIGITALLY, THE GOSPEL IS GOING FORTH TO AS MANY PEOPLE AS POSSIBLE. THE PULSE CAMPUS TOUR IN FEBRUARY 2023 REACHED 7,000+ COLLEGE STUDENTS WITH THE GOSPEL IN 8 DIFFERENT CITIES, WITH NEARLY 1,000 RESPONDING TO THE GOSPEL. BUILDING ON THE MOMENTUM FROM THIS TOUR AND THE ASBURY REVIVAL GOING ON AT THE SAME TIME, WE HOSTED A COMMISSIONING EVENT AT RUPP ARENA IN LEXINGTON, KY THAT REACHED THOUSANDS WITH THE GOSPEL IN PERSON AND VIA LIVESTREAM. OVER 50,000 HEARD THE GOSPEL THROUGH FTS-OU BOTH IN PERSON AND DIGITALLY, MAKING THIS THE LARGEST OUTREACH ON A SECULAR CAMPUS IN AMERICAN HISTORY. ADDITIONALLY, OVER 240,000 WATCHED A CLIP OF NICK'S GOSPEL MESSAGE ON SOCIAL MEDIA. THE GOOD FRIDAY GLOBAL BROADCAST REACHED 14,000,000 ACROSS RUSSIA (ACCORDING TO THE RUSSIAN BROADCASTING NETWORK), 220,000+ VIA US TV BROADCAST, AND 164,000+ ON YOUTUBE. OVER 67,000 WERE REACHED WITH THE GOSPEL BOTH IN PERSON AND DIGITALLY THROUGH AMPLIFY FEST IN BENTON, AR AND OVER 1,000 RESPONDED TO THE GOSPEL. BOTH FTS-OU AND AMPLIFY WERE REBROADCAST ACROSS EASTERN EUROPE, REACHING MILLIONS IN THIS REGION WITH THE GOSPEL. THE GOSPEL WENT OUT TO 2,500+ AT THE ARKANSAS STATE FAIR, WITH 200+ RESPONDING TO THE GOSPEL.
