Governance Explanations

Form 990, Part VI, Section B, Line 11

Ird us hires a cpa firm to prepare the federal form 990. After the draft 990 is delivered, the cfo and president/ceo perform the first level of reviews. Next, it is sent to the audit committee and then the full board for their approval. Once approved, the 990 is then signed by the cfo and delivered to the irs.

Form 990, Part VI, Section B, Line 12C

Ird us uses ird inc's written conflict of interest policy, part of ird's code of business ethics and conduct, which is provided to employees and consultants at the beginning of his/her employment or consultancy with ird. Employees and consultants are required to sign a statement signifying that they have read and understood the policy. A copy of the signed statement is maintained within the employment/consultancy records. Ird's chief of compliance and her representatives regularly educate staff at headquarters and in the field offices about the importance of complying with conflict of interest guidelines. Headquarters and field staff are encouraged to communicate instances of perceived potential conflicts of interest and seek guidance from her or other senior management. A corporate hotline provides for anonymous reporting of conflict of interest issues and other improper business practices.personnel actions, including warnings and erminations, have been taken against employees who have violated the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

Employees of ird, a related organization exempt under section 501(c)(3) help manage most of the programs as well as support functions of ird us and the cost of their salaries are allocated under the terms of a cost sharing arrangement. Ird's compensation committee is made up of board members who are independent with regards to executive compensation, are not employees of ird, and receive no compensation from the organization. The compensation committee relies on industry salary surveys, independent consultants, and other comparable information to review the compensation of president/ceo. The president/ceo in consultation with the hr department determines compensation of other key personnel.

Form 990, Part VI, Section C, Line 19

Ird maintains a website www.ird.org which is updated regularly. Under "publications" ird makes financial statements available to the public. In addition, ird brochures describing various programs and ird research papers are also posted on the website. The organization's governing documents and conflict of interest policy are available to the public upon request.

IRS990/Desc0HEALTH: IRD US PROGRAMS ARE DESIGNED TO REBUILD LOCAL HEALTH CARE INFRASTRUCTURE AND EQUIP COMMUNITIES TO MEET THE BASIC HEALTH, NUTRITION AND REPRODUCTIVE NEEDS OF THEIR PEOPLE. THESE INITIATIVES HELP MOBILIZE RESOURCES AND PROVIDE CRITICAL ASSISTANCE THAT EMPOWERS COMMUNITIES TO REBUILD AND SUSTAIN HEALTHCARE INFRASTRUCTURE AND SYSTEMS, SAVE LIVES, AND IMPROVE HEALTH FOR THE LONG TERM. IN 2013, IRD CONTINUED ITS UNHCR SUPPORTED OUTREACH EFFORTS TO THE SYRIAN AND IRAQI REFUGEE COMMUNITIES LIVING IN JORDAN, AND HELPING THEM MAINTAIN A MINIMUM STANDARD OF LIVING AND IMPROVE THEIR ACCESS TO EDUCATION, TRAINING, AND MEDICAL CARE WHILE THEY REBUILD THEIR LIVES AND PLAN FOR THE FUTURE.AS OF MID-2013, MORE THAN 375,000 REFUGEES WERE REGISTERED WITH UNHCR, WITH NEARLY 170,000 RESIDING IN THE ZA'TARI CAMP. THROUGH OUTREACH, VOLUNTEERS ASSISTED IRAQI AND SYRIAN REFUGEES AND DIRECTED THEM TO SERVICES SUCH AS HEALTHCARE, LEGAL AID, PROTECTION, AND OTHER PROGRAMS. THE OUTREACH PROGRAM ENABLES UNHCR TO UNDERSTAND AND ADDRESS THE NEEDS OF A CHANGING AND CAUTIOUS REFUGEE POPULATION. AS THE NUMBERS OF REFUGEES GREW, SO DID IRD'S WORK AND SUPPORT.

IRS990/ProgSrvcAccomActy2Grp/Desc0COMMUNITY STABILIZATION PROGRAMS: IRD US'S COMMUNITY STABILIZATION CAPABILITIES SUPPORT A WIDE RANGE OF DONOR AND PARTNER PRIORITIES INCLUDING: RELIEF AND HUMANITARIAN ASSISTANCE, STRENGTHENING COMMUNITY RESILIENCE AGAINST VIOLENT EXTREMISM AND BUILDING CAPACITY OF CIVIL SOCIETY AND LOCAL GOVERNMENT TO SUPPORT THE TRANSITION TO DEMOCRACY. IRD YEMEN BEGAN ITS PARTNERSHIP WITH THE UN HIGH COMMISSIONER FOR REFUGEES (UNHCR) IN 2010 WITH A PROJECT AIMED AT STRENGTHENING THE SELF-MANAGEMENT CAPACITY OF THE SOMALI REFUGEE COMMUNITY, YEMEN'S LARGEST REFUGEE COMMUNITY. IN 2011, THE PROJECT EXPANDED TO INCLUDE ALL REFUGEE COMMUNITIES WHO FLEE MAINLY FROM ETHIOPIA, IRAQ, AND ERITREA. IRD HAS SINCE CONDUCTED AN OUTREACH EXERCISE TARGETING EVERY REFUGEE HOUSEHOLD IN SANA'A WITH THE OBJECTIVE OF RAISING AWARENESS ON RIGHTS AND RESPONSIBILITIES, AND ALSO AVAILABLE SERVICES THAT ADDRESS HEALTH, PROTECTION, FOOD SECURITY, AND OTHER ISSUES FACED BY URBAN REFUGEES. IN AN UNPRECEDENTED MEDIA INITIATIVE, IRD PRODUCED A TEN-PART ARABIC LANGUAGE RADIO SERIES THAT REACHED 100,000 PEOPLE INCLUDING A LIVELY DRAMA THAT FOLLOWS A SOMALI FAMILY'S DISPLACEMENT FROM SOMALIA TO SANA'A AS WELL AS SHEIKHS' OPINIONS ON THE PLACE OF REFUGEES IN ISLAM.

IRS990/ProgSrvcAccomActy3Grp/Desc0RELIEF: IN 2013 IRD US CONTINUED TO PROVIDE ROBUST GIFTS-IN-KIND LOGISTICAL SUPPORT TO ENHANCE THE SUCCESS OF VARIOUS PROGRAMS. IN PARTICULAR, IRD ARRANGED FOR THE TRANSPORTATION OF A SHIPMENT OF TOMS SHOES IN SUPPORT OF REFUGEES AND HOST FAMILIES OF THOSE DISPLACED FROM IRAQ AND SYRIA IN JORDAN. IRD ALSO PROVIDED THE SUPPORT FOR THE TRANSPORTATION OF HYGIENE KITS, SCHOOL KITS AND LAYETTES PROVIDED BY UMCOR TO REFUGEES AND DISPLACED PERSONS IN JORDAN AND YEMEN. THOUGH THE PROGRAMS WERE DIRECTLY FUNDED BY UNHCR, THEY WERE MADE BETTER BY THE PROVISION OF THESE MUCH NEEDED GOODS.
