If any actual or potential conflicts exists, the board or a committee assigned by the board reviews the conflict. Financial Statement Notes

Part X, Line 2:

Living Goods is a tax-exempt organization under the Internal Revenue Code, Section 501(c) (3) and related California code sections. Living Goods Uganda is subject to Uganda's tax-exempt organization regulations while Living Goods Kenya is subject to Kenya's corporate tax regulations. Management believes that the impact of the Uganda's tax-exempt organization regulations will not have any significant impact on the consolidated financial statements. Accordingly, no provision for income taxes has been reflected in these consolidated financial statements related to the Organization's activity in Uganda or the United States. See Note 4 for tax provision related to Living Goods Kenya. Management evaluated Living Goods tax positions and concluded that Living Goods had maintained its tax exempt status and had taken no uncertain tax positions that require adjustment to the consolidated financial statements.

Living Goods Uganda is subject to Uganda's tax-exempt organization regulations while Living Goods Kenya is subject to Kenya's corporate tax regulations. Management believes that the impact of the Uganda's tax-exempt organization regulations will not have any significant impact on the consolidated financial statements. Accordingly, no provision for income taxes has been reflected in these consolidated financial statements related to the Organization's activity in Uganda or the United States. See Note 4 for tax provision related to Living Goods Kenya. Management evaluated Living Goods tax positions and concluded that Living Goods had maintained its tax exempt status and had taken no uncertain tax positions that require adjustment to the consolidated financial statements.
