Nrgi is a non-profit policy institute and grantmaking organization that promotes the responsible management of oil, gas and mineral resources for the public good. With effective revenue management, citizen engagement and real government accountability, natural resource wealth can drive development and national growth. Nrgi provides the expertise, funding and technical assistance to help countries realize these benefits.

Governance Explanations

The form 990 was prepared by the outside accountants. The form 990 was then reviewed by nrgi's corporate controller, chief financial and administrative officer and the board audit & finance committee.

Form 990, Part VI, Section B, Line 12C

When a covered person becomes aware of a proposed covered transaction, he or she shall have a duty to take the following actions: (a) immediately disclose the existence and circumstances of such covered transaction to one of the senior management of the corporation (in the case of employees) or to the board of directors of the corporation (the "board") or applicable committee thereof (in the case of directors and officers); (b) refrain from using his or her personal influence to encourage the corporation to enter into the covered transaction; and (c) physically excuse himself or herself from participation in any discussions regarding the covered transaction with officers, directors, and employees of the corporation, except to respond to requests for information. In order to assist the corporation in identifying potential covered transactions, each covered person annually shall complete and sign a conflict of interest declaration ("declaration") provided by the corporation and shall update such declaration as necessary to reflect changes during the course of the year. Completed declarations shall be available for inspection by the directors and officers of the corporation, and by such other persons as the senior management may deem appropriate.

Nrgi's president and ceo salary is approved in advance by the board of directors in accordance with its conflict of interest policy after obtaining and relying on appropriate data, including compensation data from outside sources and a compensation consultant. The board also approves the salary for the chief financial and administrative officer. The last compensation review was held in september 2021.

CIVIL SOCIETY ORGANIZATIONS AND JOURNALISTS HAVE USED RGI DATA TO DIAGNOSE GOVERNANCE SUCCESSES AND SHORTCOMINGS.(CONTINUED ON SCHEDULE O)NRGI ALSO GENERATED EVIDENCE ON ENERGY TRANSITION AND THE RISKS FACING THE GLOBE AND GOVERNMENTS RELIANT ON OIL REVENUES.
