Financial Statement Notes

PART X, LINE 2:

The organization follows the provisions of asc 740, pertaining to accounting for uncertainty in income taxes. The pronouncement requires the use of a more-likely-than-not recognition criteria before and separate from the measurement of a tax position. An entity shall initially recognize the financial statement effects of a tax position when it is more-likely-than-not, based on the technical merits, that the position will be sustained upon examination. With respect to the organization, this would primarily relate to the determination of unrelated business taxable income and to the maintenance of its tax exempt status. Management has evaluated the adopted policies and procedures that have been implemented to provide assurance that income is properly characterized and activities that jeopardize its tax exempt status are within limits established under existing tax code and regulations. Management has determined the effects of uncertain tax positions are not material to the organization for recognition or disclosure in the accompanying financial statements and, accordingly, no income tax liability has been recorded for uncertain income tax positions in the accompanying financial statements.

A KEY ELEMENT OF THE PLACESFORBIKES PROGRAM IS THE BIG JUMP PROJECT, WHICH WORKS TO CONNECT 10 DYNAMIC U.S. CITIES WITH THE WORLD'S BEST IDEAS TO QUICKLY BUILD BIKING NETWORKS AND MEASURE WHAT HAPPENS NEXT. ONE OF THESE TOOLS IS THE BICYCLE NETWORK ANALYSIS (BNA). THIS DATA-SPECIFIC RESOURCE HELPS COMMUNITIES MEASURE THE QUALITY OF THEIR LOW-STRESS BIKE NETWORK. IT ASSESSES THE DEGREE TO WHICH PEOPLE CAN COMFORTABLY BIKE TO THE PLACES THEY WANT TO GO. OUR GOAL WITH THE TOOL IS TO LOWER THE BARRIER TO BASIC NETWORK ANALYSIS AND ENCOURAGE CITIES OF ALL SIZED TO BUILD CONNECTED, COMFORTABLE BIKE NETWORKS. IN ADDITION, THE PLACESFORBIKES CITY RATINGS OFFER A DATA-DRIVEN APPROACH TO IDENTIFYING THE BEST U.S. TOWNS FOR BICYCLING AND REWARDING THOSE THAT ARE IMPROVING THE FASTEST. THE RATINGS ARE BASED ON FIVE FACTORS: RIDERSHIP, SAFETY, NETWORK, REACH AND ACCELERATION. IT INCLUDES PUBLICLY AVAILABLE DATA FROM GOVERNMENT SOURCES AND NEW DATA GATHERS FROM OUR COMMUNITY SURVEY, CITY SNAPSHOT, AND BICYCLE NETWORK ANALYSIS TOOL.

RIDE SPOT IS A BIKE RIDER AND RETAILER PROGRAM THAT HELPS EDUCATE BIKE SHOP OWNERS ON HOW TO IDENTIFY AND COMMUNICATE TO CUSTOMERS THE BEST PLACES TO RIDE, ENGAGE THOSE CUSTOMERS AND BUILD A MORE ROBUST BIKE RIDING COMMUNITY. A CORNERSTONE OF THE PROJECT FOCUSES ON A NEW PHONE APP TO HELP MORE PEOPLE FEEL COMFORTABLE ON BIKES, AND TO HELP RETAILERS BETTER SERVE THEIR CUSTOMERS. IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION FOLLOWS THE PROVISIONS OF ASC 740, PERTAINING TO ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES. THE PRONOUNCEMENT REQUIRES THE USE OF A MORE-LIKELY-THAN-NOT RECOGNITION CRITERIA BEFORE AND SEPARATE FROM THE MEASUREMENT OF A TAX POSITION. AN ENTITY SHALL INITIALLY RECOGNIZE THE FINANCIAL STATEMENT EFFECTS OF A TAX POSITION WHEN IT IS MORE-LIKELY-THAN-NOT, BASED ON THE TECHNICAL MERITS, THAT THE POSITION WILL BE SUSTAINED UPON EXAMINATION. WITH RESPECT TO THE ORGANIZATION, THIS WOULD PRIMARILY RELATE TO THE DETERMINATION OF UNRELATED BUSINESS TAXABLE INCOME AND TO THE MAINTENANCE OF ITS TAX EXEMPT STATUS. MANAGEMENT HAS EVALUATED THE ADOPTED POLICIES AND PROCEDURES THAT HAVE BEEN IMPLEMENTED TO PROVIDE ASSURANCE THAT INCOME IS PROPERLY CHARACTERIZED AND ACTIVITIES THAT JEOPARDIZE ITS TAX EXEMPT STATUS ARE WITHIN LIMITS ESTABLISHED UNDER EXISTING TAX CODE AND REGULATIONS. MANAGEMENT HAS DETERMINED THE EFFECTS OF UNCERTAIN TAX POSITIONS ARE NOT MATERIAL TO THE ORGANIZATION FOR RECOGNITION OR DISCLOSURE IN THE ACCOMPANYING FINANCIAL STATEMENTS AND, ACCORDINGLY, NO INCOME TAX LIABILITY HAS BEEN RECORDED FOR UNCERTAIN INCOME TAX POSITIONS IN THE ACCOMPANYING FINANCIAL STATEMENTS.
