The board of directors review and approve the form 990 prior to its filing. The form 990 was then authorized and signed by the organization's executive director.

Form 990, Part VI, Section B, Line 12C

The board of directors requires an annual declaration from all board members as to the existence and disclosure of any potential conflicts of interest. The board members sign a disclosure statement. Any potential conflicts are discussed by the dis-interested board members, while the party in potential conflict is required to leave the room. Board meeting minutes will document the discussion and decision making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair market value will be established.

One can help's executive compensation program is administered by the board of directors. The board is responsible for establishing and maintaining a competitive compensation program for the key executives of the organization. The board meets as needed to review the compensation program and make recommendations for any changes to the board, as appropriate. A performance evaluation is conducted and reviewed each year and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations. Following this review, the board reviews and approves, for selected key executives, base salaries and annual incentive opportunity adjustments, and objectives and goals forth-upcoming year's annual incentive plan. The board reviews and recommends to the board salary approval and incentive awards for the executive director and selected key senior staff.

Additional Explanations

REASONABLE CAUSE FOR LATE FILING:

During the spring months the organization's staff of two were overwhelmed with managing assistance to individuals and families impacted by the covid-19 pandemic and unknowingly relied upon incorrect advice regarding the extended due date. Therefore, due to the covid-19 pandemic and incorrect advice the organization received from a tax professional indicating that the due date to file form 8868 was august 15, 2020 and not july 15, 2020 the organization paper filed form 8868 after the july 15, 2020 due date. Based on the reasonable causes described above, we respectfully request that the irs waive any penalties as the origanization has filed form 990 within the six month extension due date of november 16, 2020.

ONE CAN HELP IS OFTEN ASKED TO PROVIDE ITEMS AND SERVICES SUCH AS: BEDS, BIKES AND OTHER BASICS THAT SUPPORT UNDERSERVED CHILDREN WHETHER AT HOME OR IN FOSTERCARE; LAPTOPS SO ALL STUDENTS HAVE THE CHANCE TO KEEP UP WITH CLASSES, APPLY TO COLLEGE OR LOOK FOR JOBS; BUS OR TRAIN PASSES TO HELP AGING OUT TEENS GET JOBS OR PARENTS VISIT LONELY CHILDREN IN DISTANT FOSTER CARE; EMERGENCY RENT TO REDUCE STRESS AND PREVENT HOMELESSNESS DURING A TEMPORARY SETBACK; AFTER-SCHOOL ACTIVITIES SO AT-RISK KIDS ARE IN SAFE SETTINGS LEARNING SKILLS. TO RECEIVE FUNDING, APPLICANTS (COURT APPOINTED ATTORNEYS AND SOCIAL WORKERS) APPLY ON BEHALF OF THEIR CLIENTS FOR SERVICES/RESOURCES. THE REQUESTS GO TO AN APPLICATION REVIEW COMMITTEE THAT DETERMINES WHETHER OR NOT THE REQUEST MEETS THE FUNDING CRITERIA. THE DECISION IS BASED UPON STANDARDIZED 14-POINT CRITERIA AND IS APPLIED TO EACH APPLICATION EQUALLY.
