The form 990 was prepared by the outside accountants and reviewed by senior management. The board received a copy of the 990 before it was filed.

Form 990, Part VI, Section B, Line 12C

Prior to the annual board meeting, a request is forwarded to each board member reminding him/her to disclose all interests he/she may have that could possibly pose a conflict of interest with ndi. Staff also annually sign a conflict of interest certificate. Any potential conflicts must be brought to the attention of the president of the board. Any board member with a potential conflict must recuse himself/herself from the meeting during the discussion of, and the vote on, the transaction or arrangement or position statement that results in the conflict of interest.

The executive committee of the board of directors reviews the salary of the executive director and compares it to salary surveys and other like documentation. A performance evaluation of the executive director is also performed by the executive committee of the board of directors. The recommendation of the committee is included in minutes of the annual board of directors meeting. The most recent review was performed in october 2017.
