Governance Explanations

Form 990, Part VI, Section B, Line 11B

An electronic draft of form 990 is distributed via email to the board to review prior to filing the final version with the irs. One board member will be responsible for signing the final form 990. The final form 990 will be distributed to the board electronically and retained by the finance department.

Form 990, Part VI, Section B, Line 12C

The standard of behavior at the rays baseball foundation is that all board members, volunteers and associates scrupulously avoid any conflict of interest between the interests of the rays baseball foundation on one hand, and personal, familial, professional, and business interests on the other. This includes avoiding actual conflicts of interest as well as perceived conflicts of interest. The purposes of the policy is to protect the integrity of our organization's decision-making processes, to enable our customers and other partners to have confidence in our integrity, and to protect the integrity and reputation of our board of directors, volunteers and key associates. Upon or before election, or appointment, a full written disclosure of interests, relationships and holdings that could potentially result in a conflict of interest is required. This written disclosure is kept on file and is updated as necessary and at least on an annual basis. In the course of meetings or activities, disclosure of any interests in a transaction or decision where anyone (including business or other nonprofit affiliation, family and/or significant other, employer or close associates) could appear to receive a benefit or gain is discussed. It is understood the party will be asked to leave the room for the discussion and will not be permitted to vote on the question.

Form 990, Part VI, Section C, Line 19

The conflict of interest policy and financial statements are available for inspection during regular business hours at the foundation's principal office. Copies are available for a small fee to cover copying and mailing costs.

Additional Explanations

Form 990, Part I, Question 6

Approximately 157 volunteers are used to distribute scratch off cards to raise money for the foundation at the annual shirts off our backs fundraiser. Each scratch off card contains a prize, with the grand prize being a game worn jersey off a player or coach. Six (6) additional volunteers serve as unpaid board members.

Form 990, Part III, Line 2

With recent major storms and disasters, such as hurricanes irma and maria, the foundation received contributions from fans for disaster relief efforts.

Form 990, Page 5, Part V, 7B

The organization provides written documentation of donations over $75 only if requested by the donor.

FORM 990, PART XII, LINE 2C:

The board of directors votes on the selection of the foundation's independent accountant every year before the audit is engaged. The oversight and selection process has not changed from the prior year.

Form 990, Page 1, J

The website for the rays baseball foundation is: http://www.mlb.com/rays/community

Form 990, Page 5, Part V, 1A

In prior years, rays baseball foundation ran a 50/50 raffle gaming event which resulted in form 1096 being filed for gambling winnings. In 2017, the ted williams museum and hitters hall of fame, inc took over running the 50/50 raffle program, giving the rays foundation a portion of the income generated from the event. Because of this, ted williams museum and hitters hall of fame now issues the form 1096/form w-2g's related to the event.

Form 990, Page 5, Part V, 2A

The rays baseball foundation is run by volunteers who are employees of the tampa bay rays. The tampa bay rays compensate the employees who donate their time to the rays baseball foundation thus no compensation is reported by rays baseball foundation, inc.

Financial Statement Notes

PART X, LINE 2:

No penalties or interest were recognized in 2017 or 2016. The foundation's income tax filings are subject to examiniation by the internal revenue service generally for three years after they were filed.
