Governance Explanations

Form 990, Part VI, Section A, Line 6

Wcf has one class of members. Individuals who accept wcf's invitation to join as members, and who annually affirm their desire and intent to be members of the organization in accordance with the procedures established by wcf shall be qualified to serve as a "member" of wcf.

Form 990, Part VI, Section A, Line 7A

The members of wcf shall have the right to elect one (1) director at-large to serve on the board of directors of the organization for a one year term in accordance with the procedures for voting established by wcf. As stated in the articles of incorporation, members' right to vote shall be limited to electing this one director, and shall not extend to other matters such as corporate dissolution or merger.

Form 990, Part VI, Section B, Line 11

The draft form 990 is reviewed by knowledgeable key personnel and the board of directors. After they have reviewed it, the edits are submitted to the preparer. The final form 990 is reviewed by the ceo to ensure that all the edits are captured.

Form 990, Part VI, Section B, Line 12C

When a new director nominated to join the organization, their relations with other organizations are reviewed by the board nominating committee in a vigorous review. This review includes determining whether or not the individual has any potential conflict of interest issues. For employees, a similar review is conducted by the executive officers, with referral to the board executive committee if required, to ascertain any conflicts from external activities or ties.

Form 990, Part VI, Section B, Line 15

Key employees' compensation is determined and approved by the president/ceo. The information is included in the annual budget approved by the board of directors. For the president/ceo role, the board executive committee seeks a third party to conduct a president/ ceo search in with salary range guidance. The top candidates were presented to the full board for a vote prior to the appointment of the ceo. An annual compensation review for the president/ ceo is done by written input from the board and staff with the board executive committee determining any raises and additional reimbursements needed annually.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Additionally, governing documents are sent to the states where the organization is registered to fundraise.

THE GOAL OF THESE COMMUNICATIONS ACTIVITIES IS TO DISRUPT COMPLACENCY ABOUT THE ABYSMALLY LOW NUMBER OF WOMEN IN PUBLIC OFFICE AND WHY POLITICAL EQUALITY PLAYS A CRUCIAL ROLE IN OUR COUNTRY'S STRENGTH AND FUTURE. ACTIVITIES IN THIS NATIONAL COMMUNICATIONS STRATEGY INCLUDED COMMUNICATING WITH THE ORGANIZATION'S MEMBERS AND SUPPORTERS AND CALLING MEDIA ATTENTION TO THE ISSUE.
