Form 990, Part VI, Line 11B: Form 990 Review Process

EmcArts 990 data is initially assembled by the auditor after the annual financial audit is completed. Then the draft document is reviewed by both the Managing Director and Operations and Program Coordinator. After any revisions are made, if needed, EmcArts staff leaders share the draft with the Board Chair/Treasurer to check for consistency in reporting. Upon these reviews, the signed copies are then promptly submitted, and the full EmcArts board reviews the 990 document at their next Board meeting as part of the formal agenda.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Board Members receive a copy of said policy annually, and sign off on receipt of it, as do all staff members and subcontractors, upon signing their letters of agreement with the organization. EmcArts explicitly asks that, if any staff or Board member foresees a situation that may give rise to a conflict of interest, they bring it before the Board and/or the Managing Director. Although no actions have been necessary to this point, the Managing Director holds the responsibility for enforcing the policy should any disruptive situations arise.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Compensation of the President and Managing Director of EmcArts, as well as the aggregate of the staff compensation line, is reviewed when the board reviews drafts of the upcoming FY budget, and then subsequently votes to approve the proposed budget. Details of raises in pay proposed by the Managing Director for all staff, and by the Board Chair and/or President for the President and Managing Directors pay are discussed at a board meeting (or two) preceding the beginning of the next fiscal year, and formally approved by the Board. The President and the Managing Director have received only the same cost of living increases in pay (3%) as the other staff for the past three years. The President and Managing Director determine all other staff member salaries whether cost of living, or a greater increase due to growth/change in position.

Annually EmcArts makes its latest governing documents available to the public through the website Guidestar.com. The organization regularly complies with sharing the most recent three years of 990 documents and updates our profile regularly. IRS990/Desc0EmcArts delivered services via three types of programs in 2016 - adaptive leadership programs for individuals (Arts Leaders as Cultural Innovators-ALACI), for organizations through our Innovation Labs for the Arts, Single Organization Services, and New Pathways for the Arts, and began a pilot program focused on communities to address their selected complex-adaptive challenges within city (Community Innovation Labs). The ALACI programs for individual leaders served 27 participants from 27 different arts non-profit organizations in four locations (New York City, Phoenix/Tucson, Washington DC Metro, and Greater Rhode Island). The organization's programs served 8 arts non-profit organizations through our Innovation Labs for the Performing Arts and for Arts Service organizations. We conducted adaptive planning processes with working groups at 8 organizations through our Single Organization Services program, and our New Pathways Program for the Arts in Edmonton and Calgary, Alberta, Canada engaged 20 organizations and 17, respectively, in team-based interactive workshops, direct coaching with over half of the organizations and an incubating innovation process with four of the Edmonton organizations. In Alaska, 17 arts, cultural and native organizations from throughout the state engaged with our New Pathways workshops delivered virtually, on-site forums and four organizations in the incubating innovation process. Finally, we piloted a new program focused on addressing deep, complex community challenges in two communities: Providence, Rhode Island and Winston-Salem, North Carolina. In both of these communities, we worked with lead organizations (conveners) - 3 in Winston-Salem and 2 in Providence, as well as over 35 participants from each city. Many of those participants of these new Community Innovation Labs were affiliated with organizations, such as local service non-profits, community foundations, neighborhood associations, religious institutions, local government as well as many arts and cultural non-profit organizations.
