All board members receive a copy of the form 990, with the exception of the schedule of contributors, to review in advance and before the form 990 is filed. The tax return preparer presents the form 990 to the audit committee for a detailed review. The organization maintains a highly confidential posture in regards to its schedule of contributors. As a school, the dynamics between donors, parents, faculty and staff can be concerning when knowledge of donor giving is present. We have determined it is in the best interest of the organization to maintain a confidential posture towards disclosure of contributors. The schedule of contributors is prepared by the organization's finance manager and is reviewed by the cfo, ceo, board chair and tax return preparer only.

Form 990, Part VI, Section B, Line 12C

On an annual basis, each board member signs a copy of the conflict of interest policy affirming that he has received the conflict of interest policy and has disclosed whether any conflicts of interest exist. It is the duty of each board member to disclose whether any conflicts of interest exist when the board is considering a proposed transaction or arrangement. If any conflicts of interest exist, the board member recuses himself from the meeting. The remaining board members discuss the proposed transaction or arrangement and vote whether it is in the best interest of the organization to continue with the proposed transaction or arrangement that gave rise to the conflict of interest or whether it should pursue a similar transaction or arrangement that would not give rise to a conflict of interest.

Compensation is determined for the ceo by the governance committee of the board of education. The governance committee is responsible for overseeing and reviewing the compensation for the ceo using comparative data from similarly situated private independent schools based on size and complexity on a national basis. Appropriate documentation of the compensation process is maintained for the ceo and other cabinet-level positions.

Financial Statement Notes

PART X, LINE 2:

The organization follows a more-likely-than-not measurement methodology to reflect the financial statement impact of uncertain tax positions taken or expected to be taken in a tax return. After evaluating the tax positions taken, none are considered to be uncertain; therefore, no amounts have been recognized as of june 30, 2016 and 2015. If incurred, interest and penalties associated with tax positions would be recorded in the period assessed as miscellaneous administrative expense. No interest or penalties have been assessed as of june 30, 2016 and 2015. Tax years that remain open to examination include 2012 to present.
