Form 990, Part VI, Section A, Line 6

The corporate membership of loma linda university faculty pharmacy (llufp) pursuant to section 9310 of the california nonprofit religious corporation law shall be loma linda university medical center (llumc), a california nonprofit religious corporation, acting through its board of trustees, meeting as the "membership or its executive committees to the extent specifically provided herein. The corporation shall have two (2) classes of members, which shall be designated as "class a members and "class b members". There shall be only one (1) class a member of this corporation, which shall be llumc. There shall be two (2) class b members, whose rights and interests shall be equal. The class b members shall be kevin lang and steve mohr, or their respective assignees or transferees.

The power reserved to the class b member which shall be exercised by unanimous consent shall be: 1 the appointment of the board of directors. 2 the removal of any and all directors with or without cause.

The powers reserved for the class a member, which shall only be exercised by the board upon a majority vote of its trustees present and voting at a regular or special membership meeting whenever a quorum is present, are to: 1 approve or ratify all changes to the articles of incorporation or bylaws of llufp, as the member. All such changes to the articles of incorporation or bylaws shall be initiated by the board of llufp. 2 establish guidelines for the borrowing of funds by llufp. 3 approve any significant change in the corporate purpose of llufp. 4 approve any merger, consolidation, dissolution or sale of llufp. 5 approve any exceptions to the guidelines for the borrowing of funds by llufp. 6 review the annual audited financial statements of llufp. 7 receive the annual budgets of llufp. 8 require llufp to establish contracting guidelines. 9 require llufp to have a compliance program. If the membership does not give approval or ratification of an item under this article vii, then the item will be returned to the llufp board of directors for reconsideration before resubmission.

Lluh, llu faculty pharmacy's parent organization, employs an independent outside consulting firm to benchmark compensation for lluh employees. Llu faculty pharmacy's ceo and cfo are employed by lluh. The lluh executive compensation committee uses the results of the independent survey to establish pay scales for the next fiscal year. The executive compensation committee sets the total compensation below the industry mean and median amounts provided in the survey. The executive compensation committee is composed of trustees appointed by the lluh board who are independent of lluh's management. The executive compensation committee is appointed by the lluh board of trustees to have direct responsibility for establishing compensation, policies, and benefits for the senior executives of lluh. The committee's process includes contemporaneous substantiation of deliberations and decisions. This process was last undertaken in december of 2015 for the position of coo, llumc held by wright, trevor. This process was last undertaken in december of 2015 for the position of evp lluh, ceo uhs, dean school of medicine held by hadley, henry roger. This process was last undertaken in december of 2015 for the position of president, lluh held by hart, richard henry. The financial statements of loma linda university faculty pharmacy were audited by an independent firm as part of the 2016 combined financial statement audit of loma linda university medical center and its affiliates (which encompasses loma linda university medical center, loma linda mercantile, loma linda university medical enterprises, loma linda university faculty pharmacy, loma linda university children's hospital, loma linda university behavioral medical center, the loma linda university children's hospital foundation, loma linda university healthcare properties, llc, and loma linda university medical center-murrieta).

FORM 990, PART XII, LINE 2C:

Due to the fact that loma linda university faculty pharmacy's financial statements are audited as part of the combined financial statement audit for loma linda university medical center and its affiliates, llumc's finance and audit committees of the board of trustees also assume responsibility for oversight of loma linda university faculty pharmacy's financial statement audit and selection of the independent firm.

Financial Statement Notes

PART X, LINE 2:

The principal operations of llumc are exempt from taxation pursuant to internal revenue code section 501(c)(3) and the related state provisions. Accounting standards codification (asc) 740, income taxes, clarifies the accounting for income taxes by prescribing a minimum recognition threshold that a tax position is required to meet before being recognized in the financial statements. Asc 740 also provides guidance on derecognition, measurement, classification, interest and penalties, disclosure, and transition. The guidance is applicable to pass-through entities and tax-exempt organizations. No significant tax liability for tax benefits, interest or penalties accrued or needed to be accrued at december 31, 2016 or 2015. Llumc currently files form 990 (informational return of organizations exempt from income taxes) and form 990-t (business income tax return for an exempt organization) in the u.s. Federal jurisdiction and the state of california for each tax-exempt organization as appropriate. Llumc is not subject to income tax examinations prior to 2013 in major jurisdictions.
