Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. Once the board has approved the return it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer, and member of a committee with governing board delegated powers shall annually sign a statement that affirms such person: a. Has received a copy of the conflicts of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.

Form 990, Part VI, Section B, Line 15

The organization's compensation committee determined the compensation of the organization's chief executive officer based on comparability data, such as form 990s of similar organization, performance, and merit. The compensation of the ceo was approved by the board and documented in the minutes of the meeting. The process was last conducted in 2022. The ceo uses various data points such as form 990s of similar organization, performance and merit, and consultation with the hrf board of directors to determine other officers' salaries. Their compensation was approved by the board and documented in the minutes of the meeting. The process was last conducted in 2022.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is also posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request or by calling the organization directly.

IRS990/Desc0COMMUNITY OUTREACHOVER ITS LIFETIME, HRF HAS CULTIVATED A COMMUNITY OF HUMAN RIGHTS ADVOCATES, POLITICAL DISSIDENTS, CIVIL SOCIETY ORGANIZATIONS, AND INDUSTRY LEADERS UNITED AROUND PROMOTING DEMOCRACY AND HUMAN RIGHTS.THE OSLO FREEDOM FORUM IS HRF'S INTERNATIONAL CONFERENCE SERIES, WHICH PROVIDES A PLATFORM FOR HUMAN RIGHTS DEFENDERS TO SHARE THEIR STORIES WITH A GLOBAL AUDIENCE AND GARNER MORE SUPPORT FOR THEIR CAUSES. THE 2022 OSLO FREEDOM FORUM RETURNED TO OSLO, NORWAY FOR THE FIRST TIME SINCE THE COVID19 PANDEMIC, FOR A THREE-DAY EVENT ATTENDED BY MORE THAN 1,000 PEOPLE. HRF ALSO HOSTED ONE-DAY REGIONAL OSLO FREEDOM FORUMS IN NEW YORK CITY AND TAIPEI, TAIWAN.HRF FURTHER SUPPORTS ITS COMMUNITY THROUGH TARGETED SKILLS-DEVELOPMENT PROGRAMS. THE FREEDOM FELLOWSHIP, FOR EXAMPLE, AWARDS TEN HUMAN RIGHTS ADVOCATES EACH YEAR WITH THE UNIQUE OPPORTUNITY TO INCREASE THE IMPACT OF THEIR WORK THROUGH HANDS-ON TRAINING AND MENTORSHIP SESSIONS. IN 2022, HRF ALSO HOSTED A WORKING RETREAT FOR ACTIVISTS FROM THE MIDDLE EAST AND NORTH AFRICA (MENA) REGION TO IDENTIFY THE MOST PRESSING ISSUES IN THE REGION, ENGAGE IN HIGH-LEVEL STRATEGY SESSIONS, AND PARTAKE IN COLLABORATIVE WORKSHOPS. HRF'S OSLO SCHOLARS PROGRAM, IN TURN, FACILITATES INTERNSHIPS FOR UNIVERSITY STUDENTS WITH SOME OF THE WORLD'S LEADING HUMAN RIGHTS DEFENDERS, PROVIDING STUDENTS WITH VALUABLE PROFESSIONAL EXPERIENCES AND ASSISTING ACTIVISTS WITH THEIR CRITICAL WORK.LASTLY, HRF OFFERS DIRECT SUPPORT IN THE FORM OF MICROGRANTS TO INDIVIDUALS WORKING ON THE FRONTLINES OF DEMOCRATIC CHANGE. HRF'S FINANCIAL FREEDOM PROGRAM AIDS DEVELOPERS WHO ARE MAKING THE BITCOIN NETWORK MORE PRIVATE, DECENTRALIZED, AND RESILIENT, SO IT CAN BETTER SERVE AS A FINANCIAL TOOL FOR HUMAN RIGHTS ACTIVISTS WORLDWIDE.

MEANWHILE, THE BELARUS SOLIDARITY FUND PROVIDED FINANCIAL SUPPORT TO BELARUSIAN JOURNALISTS WHO HAD BEEN FORCED INTO EXILE FOR CRITICIZING THE LUKASHENKO REGIME. THE CHINESE COMMUNIST PARTY (CCP) DISRUPTION INITIATIVE PUBLISHED OP-EDS AND HOSTED EVENTS, SUCH AS A PEACEFUL DEMONSTRATION IN FRONT OF THE US CAPITOL, TO DENOUNCE THE CCP'S SYSTEMATIC HUMAN RIGHTS VIOLATIONS. AND FINALLY, HRF'S NEW PROGRAM LEAD FOR FLASH DRIVES FOR FREEDOM, SEONGMIN LEE, WHO DEFECTED FROM NORTH KOREA AT AGE 23, MET WITH KEY POLICYMAKERS, NGOS, AND JOURNALISTS TO STRENGTHEN HRF'S ADVOCACY EFFORTS IN KOREA.
