“There are three classes of membership. (1) the first class is non-voting members. These members pay no dues. They may participate in the activities of the organization, but have no power to vote. (2) the second class is special voting members. These members pay dues as determined by the executive committee. They serve on the board of directors and have the power to vote on all matters except financial matters, contractual matters and matters involving dues and special assessments, and any amendments to the bylaws. (3) the third class is full dues-paying members. These members serve both on the board of directors and the executive committee. The executive committee is composed solely of such full dues-paying members, and has the power to vote on all matters including financial matters, contractual matters and matters involving dues and special assessments, and any amendments to the bylaws.”

The rights, responsibilities and dues-paying obligations for members are set out in the bylaws, and for special voting members the rights, responsibilities and dues-paying obligations are determined by the executive committee.”

“The executive director of the organization or his designee convenes all meetings in which actions are taken by the board of directors or executive committee. He (or his designee) takes written notes on all actions taken in such meetings and retains such notes, which are available to any member of the organization upon request.”
