Governance Explanations

Form 990, Part VI, Section B, Line 11

The board of directors will receive and review the irs form 990 in draft format each year at a meeting with the tax preparers. They will communicate any changes or their approval to the ceo prior to the irs form 990 being filed.

Form 990, Part VI, Section B, Line 12C

Afn maintains and updates the board approved personnel handbook, including whistleblower and conflict of interest policy, on a current basis. Board members are required to disclose any conflicts of interest at every meeting. Each employee is required to sign an acknowledgement of policy review, which is maintained in the employee file.

Form 990, Part VI, Section B, Line 15

Annually, in conjunction with the ceo's annual performance review by the executive committee of the board of directors, the ceo's salary shall be reviewed. For the ceo and supervisors, salaries shall be computed through a process which includes review by the executive committee, study of comparability data and contemporaneous documentation of the deliberation and the decision.

Form 990, Part VI, Section C, Line 19

The governing documents, financial statements, and conflict of interest policy are available upon request from afn at 425 north craig street #500, pittsburgh, pa 15213.
