The sole member of lcms national housing support corporation (nhsc) is the lutheran church missouri synod (lcms). All powers of the member, including those provided for by the nhsc bylaws, articles of incorporation, and in the laws of the state of missouri, are vested in and shall be exercised by the board of directors of the member.

Form 990, Part VI, Section A, Line 7A

As sole member of nhsc, lcms, has vested its powers in the board of directors of lcms. The lcms board of directors are responsible for electing at least 1/3, but less than 1/2 of the nhsc board of directors.

Form 990, Part VI, Section A, Line 7B

The executive committee shall have authority to act for the board of directors in all matters delegated to it by specific action or by policy of the board of directors, except as limited below. Any action taken by the executive committee pursuant to the powers granted may be accepted as a valid act of nhsc by any party dealing with the organization. The following governance decisions may not be undertaken by a committee of the board, including the executive committee: 1. Authorize distributions to directors, officers, agents or employees except in exchange for value received; 2. Approve dissolution, merger or the sale, pledge or transfer of all or substantially all of the corporation's assets; 3. Unless otherwise provided in these bylaws or the articles of incorporation, elect, appoint or remove directors or fill vacancies on the board of directors or on any of its committees; or 4. Adopt, amend or repeal the articles or bylaws.

The organization's form 990 is prepared by the independent accountant and is initially reviewed by the chief executive. Questions and concerns are addressed and any required changes are made. The 990 is then made available to the board of directors and/or the executive committee prior to filing with the irs.

The approved policy governance manual requires the nhsc board at its scheduled meetings to review sections of its policy on a rotating basis. An audit committee will also be responsible for monitoring compliance with policies.

The executive committee and/or the board of directors assumes responsibility for oversight of the audit of the financial statements and the selection of the independent accountant. The process has not changed since the prior year.

Financial Statement Notes

PART V, LINE 4:

Nhsc is the beneficiary of the earnings on an endowment fund held by the lcms foundation which will be received in perpetuity. The principal will not revert to the nhsc. The perpetual stream of revenue is viewed by nhsc as a promise to give by the individuals who established the endowment. The neumann endowment fund was established to support women and children in north st. Louis.

PART X, LINE 2:

The lcms national housing support corporation (nhsc) adopted accounting rules for uncertain tax positions which require consolidated financial statement recognition of the impact of a tax position if a position is more likely than not of being sustained on audit, based on the technical merits of the position. These rules also provide guidance on measurement, recognition, classification, interest and penalties, transition, and disclosure requirements for uncertain tax positions. The adoption of the new rules has no impact on the current consolidated financial statements. The nhsc is exempt from federal income tax under the provisions of section 501(c)(3) of the internal revenue code except as to unrelated business income for which form 990-t is filed. The nhsc qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(2). The nhsc has addressed the provisions of fasb asc 740, accounting for income taxes. In that regard, the nhsc has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax laws and new authoritative rulings and believes that no provision for income taxes is necessary, at this time, to cover any uncertain tax positions.

IN FISCAL YEAR 2018, NHSC PROVIDED SUCH SERVICES TO 37 ENTITIES IN 13 STATES AND 1 FOREIGN COUNTRY AND PROVIDED TRAINING TO 313 LCMS PARTNERS INTERESTED IN ENGAGING IN COMMUNITY-BASED PROJECTS. NHSC FOCUSES ON BUILDING RELATIONSHIPS AND LOCAL KNOWLEDGE FOR OUR PARTNERS THAT FACILITATE THE ENHANCEMENT OR EVENTUAL CREATION OF (SEE SCHEDULE O)HOUSING AND COMMUNITY DEVELOPMENT EFFORTS. EXAMPLES OF CONSULTING SERVICES INCLUDE: - INFORMAL DISCUSSIONS REGARDING POTENTIAL FUNDING OPPORTUNITIES FOR COMMUNITY DEVELOPMENT WORK, - ORGANIZING/FACILITATING MEETINGS BETWEEN COMMUNITY, GOVERNMENTAL AND ORGANIZATIONAL PARTNERS PLANNING OUT FUTURE ACTION ITEMS AND WORK PLANS, - PROVIDING DIRECT TRAINING RESOURCES (VIA WEBINAR OR ON-SITE WORKSHOPS), AND OTHER SIMILAR TRAINING TOOLS. THESE RESOURCES CAN BE DISTRIBUTED IN A VARIETY OF FORMATS, BOTH PASSIVE (ONLINE OR WRITTEN RESOURCES) AND ACTIVE (DIRECT TRAINING AND CONVERSATIONS WITH ORGANIZATIONS). LOW INTEREST LOANS RANGING IN SIZE FROM $25,000 - $250,000 ARE PROVIDED TO HELP SUPPORT COMMUNITY DEVELOPMENT PROJECTS THAT ARE EITHER PRE-DEVELOPMENT OR DEVELOPMENT TERMS. NHSC APPROVED 1 LOAN IN THE CURRENT YEAR. (SEE SCHEDULE O)AS PART OF THE GRANT PROGRAMS, NHSC AWARDED EXTERNAL GRANTS OF $4,350 IN THE CURRENT YEAR.ADDITIONAL GRANT FUNDS WERE AWARDED THROUGH THE CAMPAIGN FOR COLLEGE HILL PROGRAM ($5,000).
