“The sole member of nhsc is the lutheran church missouri synod (lcms). All powers of the member, including those provided for by the nhsc bylaws, articles of incorporation, and in the laws of the state of missouri, are vested in and shall be exercised by the board of directors of the member.”

“The nhsc adopted accounting rules for uncertain tax positions which require consolidated financial statement recognition of the impact of a tax position if a position is more likely than not of being sustained on audit, based on the technical merits of the position. These rules also provide guidance on measurement, recognition, classification, interest and penalties, transition, and disclosure requirements for uncertain tax positions. The adoption of the new rules has no impact on the current consolidated financial statements. The nhsc is exempt from federal income tax under the provisions of section 501(c)(3) of the internal revenue code except as to unrelated business income for which form 990-t is filed. The nhsc qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(2). The nhsc has addressed the provisions of fasb asc 740, accounting for income taxes. In that regard, the nhsc has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax laws and new authoritative rulings and believes that no provision for income taxes is necessary, at this time, to cover any uncertain tax positions.”
