FORM 990, PART VI, SECTION A, LINE 2:

Pbs foundation board director jonathan raclin was an investment manager for pbs foundation board member john porter in fiscal 2015.

FORM 990, PART VI, SECTION A, LINE 4:

Amendment increasing the maximum size of the foundation's board from 15 to 20 members was approved in june 2015 (article 3.2 of the foundation bylaws). Amendments providing for flexibility in the term of the chair of the board were approved in june 2015 (articles 3.8, 3.9 of the foundation bylaws).

Pbs is pbs foundation's sole member (article 2.1 of the pbs foundation bylaws).

FORM 990, PART VI, SECTION A, LINE 7A:

PER ARTICLE 3.3 OF THE PBS FOUNDATION BYLAWS, the Chair of the PBS Board of Directors, the President of PBS and a third member from either the PBS Board of Directors or a senior executive of PBS, shall serve as ex officio voting members of the PBS Foundation Board.

Per article 3.3 of the bylaws, pbs's nominating and corporate governance committee must approve all appointments of pbs foundation board members.

The process for reviewing the pbs foundation form 990 prior to filing includes a thorough review by the executive director and certain officers of the pbs foundation, including the president, treasurer, assistant treasurer and corporate secretary. These officers of the foundation are also members of the senior management team at pbs.

FORM 990, PART VI, SECTION B, LINE 12C:

In accordance with pbs's conflict of interest policy, pbs foundation executive staff, officers and board members are required to complete a conflict of interest form at the beginning of each fiscal year and are required to update the form as necessary throughout the year. These forms are distributed, collected, reviewed, and retained by pbs foundation's corporate secretary, who also serves as pbs's general counsel and corporate secretary.

The pbs foundation receives contributions in the form of securities which in practice it liquidates to cash as soon as reasonably possible. These same securities are recorded at the gross sales amount on line 7a of the schedule when sold, resulting in an offsetting gain or loss in fair market value (fmv) at liquidation.

FORM 990, PART I, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

The foundation makes grants to pbs to ensure pbs' continued excellence and to promote and enhance outstanding public broadcasting programs and services. Grants to pbs in fiscal 2015 consisted of funding to support the development of materials for parents, kids, and caregivers that support kindergarten readiness in the areas of math, literacy, and social emotional (se) skills; to support the development of a series of parent and child engagement tools and resources that support character formation in children; to support the pbs kids curriculum framework initiative; to support the pbs historical pilot "mercy street"; to continue development of new learning media digital objects; to create new pbs kids game and parent supervision mobile applications and to facilitate additional news and public affairs and general arts programming.

THE FOUNDATION IS A SUPPORTING ORGANIZATION WHOSE EFFORTS AND RELATED EXPENDITURES SOMETIMES RESULT IN BENEFITS NOT REFLECTED IN ITS OWN Form 990 REPORT, AS THESE BENEFITS ARE RECEIVED DIRECTLY BY ITS SUPPORTED ORGANIZATION, PUBLIC BROADCASTING SERVICE.

Financial Statement Notes

PART X, LINE 2:

Explanation: form 990, schedule d, part x, line 2: the foundation adopted the provisions of asc 740-10, income taxes, on july 1, 2007. Under asc 740-10, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. The implementation of asc 740-10 had no impact on the foundation's financial statements. The foundation does not believe there are any unrecognized tax benefits that should be recorded. For the years ended june 30, 2015 and 2014, there were no interest or penalties recorded or included in the statements of activities. The foundation is still open to examination by taxing authorities from fiscal year 2012 forward.

PART V, LINE 4:

Explanation: form 990, schedule d, part v, line 4: at june 30, 2015, the foundation had endowment funds totaling $4,990,853. Of this total, funds of $3,978,088 were permanently restricted with donor imposed stipulations on the use of the funds. In addition to the permanently restricted fund, the foundation had board designated endowment funds. Donor restricted endowment fund: the iris and joseph pollock fund: to provide for the broadcast and dissemination of classical music programming. Board designated fund: pbs endowment fund: to provide a continued source of income for operations, special projects, capital improvements or for emergency needs. Form 990, schedule d, part v: the pbs endowment fund consists of individual funds established for a variety of purposes. As required by generally accepted accounting principles, net assets associated with endowment funds are classified and reported based on the existence or absence of donor-imposed stipulations. The foundation reports those funds in accordance with asc 958 (endowments of not-for-profit organizations: net asset classifications of funds subject to an enacted version of the uniform prudent management of institutional funds act (upmifa), and enhanced disclosures for all endowment funds).
