“The organization is a membership corporation whose members include individuals and agencies. Individual membership entitles a member to one vote at any annual or special meeting of the members of the organization on each matter being considered at such applicable meeting. Academic education agency membership entitles one agency to one vote on each matter being considered at any annual or special meeting of the members of the organization, and benefits as determined by the board of governors. Associate agency members do not have voting privileges within the national league for nursing.”

“Changes in the bylaws are to be approved by members.”

“The form 990 is first reviewed and approved by management and the executive committee. During the review the committee will discuss with the management any issues, concerns or recommendations resulting from the completion of the 990 tax return. Upon approval, the form 990 is distributed to all national league for nursing board governors prior to filing with irs.”

“The conflict of interest statements are signed once a year by the board of governors and employees of the organization. The statements are given to the chief executive officer's assistants to review to determine if there is a conflict, they will report the conflict to the chief executive officer and/or the executive committee to determine the extent of conflict and necessary actions to be taken. If a conflict arises with the ceo, then the executive committee is informed and the ceo or anybody else that has a conflict will be recused. Trustees were required to sign the conflict of interest statement in 2023.”

“The executive committee sets goals for the ceo at the time she is evaluated for the prior year and upcoming year. At that time they will set her compensation for the year. When they agree on the compensation, they will present it to the board of governors for approval. This was done during 2023 and subsequently done in 2024.”

“The financial statements are given to individuals on request along with any other documents requested.”
