Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization updated its governing documents to restate its purpose.

Form 990, Part VI, Section B, Line 11B

The federal form 990 is completed by an independent accounting firm and then presented to the eip's board of directors for review and approval prior to submission to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers all members of the board and is monitored by an annual written information form distributed from the cfo. It is then signed by all members of the board, reviewed and maintained by the audit committee & cfo. The president or the board reviews each transaction to come before the board for potential or actual conflicts of interest. If actual conflicts are identified, the person determined to have a conflict will be recused from any deliberations or voting. The identified conflict of interest and appropriate recusals are documented in the minutes of each board meeting.

Form 990, Part VI, Section B, Line 15A

When changes are made, an independent party is engaged to complete an industry review with comparison data, which is presented to the executive committee of the board of directors. The executive committee reviews and submits salary recommendation to the full board of directors for approval, which is documented. Key employees' compensation is determined by the executive director based on industry comparisons and salary history, and merit reviews are conducted annually. The compensation review process is documented and the last review took place in november 2019. The executive director periodically reviews data obtained from other non-profit organizations regarding salary levels for attorneys to provide a basis for comparison.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy and financial statements are available upon request.
