Mission

As a federally qualified health center in west philadelphia, our mission is to provide high-quality, culturally sensitive, accessible school-based primary and preventative healthcare services to the underserved west philadelphia community surrounding the william l. Sayre high school; and offer health services education for high school students, undergraduate, graduate and professional students

The sayre health center is a 501(c)3 corporation that will provide clinical services and health and education for high school, undergraduate, and graduate students in health care. Sayre health center has the following objectives: to improve the health of sayre high school through the provision of health services and health education; to prepare sayre high school students for careers in health; to prepare sayre high school students for successful higher education opportunities; to provide accessible and culturally sensitive high-quality community based primary and preventive health care services to the underserved west philadelphia community surrounding the william l. Sayre high school; and to offer health services education for high school students and undergraduate, graduate and professional students from universities and colleges in the philadelphia area.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The members of the executive committee shall be the officers who are elected by the board at the annual meeting. This shall include the president, who shall serve as chairman of the committee, the vice-president, secretary, treasurer and executive director. The executive committee shall have power and authority to take actions on behalf of the board of directors for emergencies and other business matters that occur between regular general body meetings of the board. The executive committee shall not be authorized to conduct the standard and usual business of the board. All actions taken by the executive committee shall be reported at the next meeting of the board and shall be binding on the board only when approved by formal vote of the entire board or when so authorized previously by the board and delegated to the executive committee. Members appointed by another entity(ies), including sayre school and the university of pennsylvania, may not make up a majority of the executive committee.

An actual or potential conflict of interest exists when any of the following exists: a covered individual or a family member of a covered individual or an organization in which a covered individual or family member has ownership or investment interest or compensation relationship or serves as a director or officer. Or a covered individual or family member serves as an officer or director or key employee of, or has ownership intereset in or is compensated by an organization that competes with the corporation. Covered individuals shall act in a manner intended to further the best interest of the corporation. If at any time a covered individual is aware that her or she has or may have a conflict of interest or is or may be unable to act in the best interest of the corporation on any issue because of a personal situation or other reason, the covered individual shall disclose the conflict or potential conflict, recuse himself or herself from voting on the subject, and shall leave the rom while the matter is discussed. Prior to leaving the room, the affected covered individual shall answer any questions asked by disinterested directors. Recusing himself or herself shall not prevent a covered individual from participating in other activities or discussions where no conflict of interest exists. Annually, each covered individual must complete a disclosure statement reflecting his or her interest. The chairman of the board is responsible for reviewing the disclosure statements.

The sayre health center board appoints a committee to research and review compensation and benefits of other fqhc/executive director's salaries in the local philadelphia region. The board committee identified their findings to the full board of directors. The full board considered the committee's recommendations and voted on the final decision for the level of compensation.

Financial Statement Notes

PART X, LINE 2:

The health center is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and is exempt from state income taxes under the commonwealth of pennsylvania statutes. The health center follows the provisions of the income tax accounting standards regarding the recognition and measurement of uncertain tax positions. It is the health center's policy to account for any interest or penalties assessed relating to uncertain tax positions, if any, as general and administrative expenses. The health center did not incur any interest or penalties for the years ended june 30, 2014 or 2013 the application of these provisions has no impact on the health center's financial statements. The health center's tax returns are subject to review and examination by federal and state authorities. The tax returns for the years 2011 to 2013 are open to examination by federal and state authorities.
