Governance Explanations

Form 990, Part VI, Section A, Line 2

Robert richards, a board member and former f-16 pilot in the air force, is a valuable asset to packages from home due to his military background and expertise. He is also the father of the ceo. This family relationship has been disclosed in accordance with our conflict of interest policy, and robert recuses himself from any discussions or decisions involving the ceo's compensation or other matters where a conflict could arise, ensuring transparency and integrity in governance.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm and was reviewed by the executive director. If time permits, a copy is then provided to the full board before filing.

Form 990, Part VI, Section B, Line 12C

A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Such person's ineligibility to vote shall be reflected in the minutes of the meeting. For purposes of this paragraph, a member of the board of directors of pfh has a conflict of interest when he or she stands for election as an officer or for re-election as a member of the board of directors. Annually each director, officer, employee and volunteer shall complete a disclosure form identifying any relationships, positions or circumstances in which he or she is involved that he or she believes could contribute to a conflict of interest. This policy is reviewed annually by each member of the board of directors.

Form 990, Part VI, Section B, Line 15

The compensation of the ceo is determined by the board of directors through an independent compensation committee, which is free from conflicts of interest. The committee uses comparability data from nonprofit compensation surveys and similar organizations in our geographic area and sector to ensure the compensation is reasonable. All discussions, data used, and final decisions are documented in the meeting minutes at the time of the review, providing contemporaneous substantiation for the decision.

Form 990, Part VI, Section C, Line 19

The organization does not make its articles of incorporation, bylaws and financial statements available to the public.
