“DKMS WAS INCORPORATED AS A MEMBERSHIP ORGANIZATION OF DKMS GROUP GGMBH. DKMS Group GGMBH, the sole member of DKMS, elects the members of the governing body (BUT NOT IF THE PERSONS ON THE GOVERNING BODY ARE THE ORGANIZATION'S ONLY MEMBERS) OR THEIR DELEGATES.”

A director elected to fill a vacancy shall hold office until the next annual meeting of the member and until the election and qualification of a successor.”

After questions arising from the various reviews are addressed and incorporated into the form 990, a revised draft is made available to organization's leadership team and the board of directors for their review. The form 990 is then signed and filed with the irs.”

This process is administered at the company level by company's corporate compliance department. The conflicts and their respective resolutions are reviewed with leadership at the local level and potential conflicts discussed and resolved. Summary results are reviewed with the board of directors”
