“DKMS WAS INCORPORATED AS A MEMBERSHIP ORGANIZATION OF DKMS GROUP GGMBH. The sole member elects the members of the governing body (BUT NOT IF THE PERSONS ON THE GOVERNING BODY ARE THE ORGANIZATION'S ONLY MEMBERS) OR THEIR DELEGATES.”

“The initial directors shall be those persons whose names and addresses are set forth in the articles of incorporation and they shall serve until the first annual meeting of the member and until the election and qualification of their successors. Thereafter, directors shall be elected at the annual meeting of the member or at any adjournment thereof. Each director shall continue in office until the annual meeting of the member held next after the election of such director and until the election and qualification of a successor. Vacancies: any vacancy or vacancies created by the death, resignation or incapacity to act of any director before the expiration of such director's term, or by the creation of one or more new directorships, may be filled at any meeting of the board by a majority of the directors then in office. A director elected to fill a vacancy shall hold office until the next annual meeting of the member and until the election and qualification of a successor.”

After questions arising from the various reviews are addressed and incorporated into the form 990, a revised draft is made available to organization's leadership team and the board of directors for their review. The form 990 is then signed and filed with the irs.”

“Officers, directors, key employees and other disqualified persons are required to complete a conflict-of-interest questionnaire annually and did so in the normal course for the year ended december 31, 2023. This process is administered at the company level by company's corporate compliance department. The conflicts and their respective resolutions are reviewed with leadership at the local level and potential conflicts discussed and resolved. Summary results are reviewed with the board of directors”
