Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by independent accountants based on information provided by calcpa institute. It was reviewed in detail by the controller, and a secondary, high-level review was conducted by the cfo. The reviewed draft was circulated to members of the the audit committee requesting their review, comments, and questions. All the questions and concerns were addressed and resulting modifications were made as appropriate. Once the review process had been completed, the form 990 was provided to all board members and was filed with the irs on or before the due date.

Form 990, Part VI, Section B, Line 12C

Members of the board are required to read the calcpa institute's conflict of interest policy and submit a conflict of interest disclosure statement annually. The disclosure statements are reviewed upon receipt. If conflicts are identified, calcpa's ceo reviews the statement and will refer to legal counsel, if necessary.

Form 990, Part VI, Section B, Line 15

Calcpa institute is organized and is operated to perform the functions, or to carry out the purpose of the california society of certified public accountants ("calcpa"). Calcpa institute is under the same management as calcpa's. The compensation of the executive director is reported on calcpa's 990. The executive director is also a division director of calcpa; majority of his time is allocated to calcpa. He reports to calcpa's ceo who determines his salary based on his annual performance review measured against goals preset by calcpa's ceo.

Any request for the financial statements, governing documents, and conflict of interest policy will be referred to the cfo. Documents will be provided within 24 hours from the date of the request. These documents are available for the same period of time set forth in sec. 6104(d).

Additional Explanations

FORM 990, PART I, LINE 6:

Volunteers are calcpa members who sign up to get involved in the following: (1) talk to high school or college students about budgeting, credit, or savings and investing, or help them discover a cpa career; (2) hold dollars & sense workshops to educate public on financial literacy; (3) being a tax volunteer by sharing their knowledge with the public by collaborating with state legislators, local chambers of commerce, tax assistance programs and television and radio news shows.

Form 990, Part III, Line 2

Student outreach has been part of the institute's mission since 2008 and has always played a part in advancing financial education. In fy 16-17, the institute expanded its commitment and resources to student outreach through the campus ambassador program. The leadership institute started in 2008 as a part of the institute's mission on providing support to the cpa profession. The program started as a pilot to foster strategic positions to play a key role in the institute's mission. Now on its 9th year, the leadership institute is an established program that has had nearly 200 graduates since inception.

Calcpa institute did not issue a w-2. The compensation provided on part ix is for the shared employees that are on the california society of certified public accountants ("calcpa") payroll. Calcpa issued the w-2 for these employees.

Financial Statement Notes

PART X, LINE 2:

The calcpa institute is exempt from income taxes under irc section 501(c)(3) and related california code sections. However, the organization is subject to income taxes from activities unrelated to their tax-exempt purposes. The institute is considered a publicly supported organization. Management has evaluated their tax positions and related income tax contingencies. Management does not believe that any material uncertain tax positions exist.

ITS MAIN GOAL IS TO INCREASE THE AWARENESS OF ACCOUNTING CAREERS AMONG UNDERREPRESENTED AND UNDERSERVED MINORITY STUDENT POPULATIONS THROUGHOUT THE STATE OF CALIFORNIA. THE PROJECT INVOLVES CLASSROOM VISITS BY CPAS TO SPEAK ABOUT CAREER OPPORTUNITIES INCLUDING FINANCIAL LITERACY LESSONS, TOURS OF LOCAL CPA FIRMS TO EXPOSE STUDENTS TO THE WORK OF PUBLIC ACCOUNTING FIRMS, AND TOURS OF LOCAL UNIVERSITIES WITH ACCOUNTING PROGRAMS TO ENCOURAGE THE PURSUIT OF COLLEGE EDUCATION AS A PATH TO A CPA CAREER.
