Prior to filing the form 990 the BOARD DESIGNATED THE AUDIT COMMITTEE reviews the FORM 990. After approval by the audit committee the return is provided to the full board for review before filing.”

“Each member of board, each member of specified committees and each officer executes a statement at the time of the first meeting of board each year setting forth any possible conflicts of interest or stating that no such conflicts exist. Audit committee and counsel to meadowbrook farm review such statements and inform the board of any potential material conflicts. Any staff member who has a conflict or a potential conflict of interest must disclose such conflict of interest in writing to the director of human resources. A violation of this policy may result in disciplinary action up to and including discharge from employment.”

“Supplemental Information The Pennsylvania Horticultural Society engaged an individual, Margaret McCarvill, to function as its Interim Executive Director while a search was conducted for a new President from May 1, 2015 through January 31, 2016. During the same period, Ms. McCarvill served as a member of the PHS board of directors. The transaction was at arms length and services were provided to PHS at a discounted fee. In calendar year 2015, PHS paid $60,688 to Ms. McCarvill for her consulting services and not as a board member and paid $48,132 in calendar year 2016 Form 1099 and Form 990, Part VII, Section A, Line 1A.”
