Kepler's form 990 is reviewed by the chair, treasurer and members of the finance and audit committee. A copy is circulated to all board members prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director, officer or employee must disclose to the board in advance all material terms of a transaction or relationship that could reasonably be expected to give rise to a requirement for approval under the conflict of interest policy. In the event that a director, officer, or employee is uncertain about the need to disclose and seek approval of a particular transaction or relationship, the chair of the board shall be consulted. A transaction or relationship covered by the conflict of interest policy shall be subject to approval after disclosure by a majority of the disinterested directors present at a duly convened meeting of the board of directors. A director, officer or employee with a conflict shall not vote with respect to the conflict matter and shall be excused from the discussion if deemed appropriate and requested by the chair or any two disinterested directors.

Form 990, Part VI, Section B, Line 15
