Governance Explanations

The purposes for which the corporation is organized are to be exclusively for the benefit of, or to perform the functions of, or to carry out the purposes of the corporation's sole member, jacksonville housing authority, a public body corporate and politic to the laws of the state of florida (the "authority"), in connection with providing and maintaining affordable housing to very low, low and moderate income families. The corporation, in connection with furthering its stated purposes, shall limit its activities to (i) ownership, financing, development, management, leasing or operation of affordable housing in the state of florida as permitted under applicable governmental regulations for subsidized financing of affordable housing and consistent with and recognized as charitable by the internal revenue service in revenue procedure 96-32; and (ii) transacting any and all lawful business for which a corporation may be formed, provided, however, all of the same is undertaken solely in accordance with the purposes of the authority.

Financial Statement Notes

Schedule D, Page 3, Part X

The authority's blended component units are subject to the income tax provisions of florida statutes and the internal revenue code. The authority, created under florida statutes, is considered a public corporation and is exempt from florida income taxes under florida statute 421 and federal income taxes under section 501(c)(3) of the internal revenue code. The authority's blended component units follow the provisions of fasb asc 740-10-05, accounting for uncertainty in income taxes - an interpretation of fasb statement 109, which requires a two-step approach to evaluate tax positions and determine if they should be recognized in the financial statements. The two-step approach involves recognizing any tax positions that are "more likely than not" to occur and then measuring those positions to determine if they are recognizable in the financial statements. Management regularly reviews and analyzes all tax positions and has determined no aggressive tax positions have been taken. For the year ended september 30, 2014, no provision or liability for federal income taxes has been included in the financial statements for the authority's blended component units. The authority's blended component units income tax filings are subject to audit by various taxing authorities. The authority's blended component units open audit periods are 2011 through 2014.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE AUTHORITY'S BLENDED COMPONENT UNITS ARE SUBJECT TO THE INCOME TAX PROVISIONS OF FLORIDA STATUTES AND THE INTERNAL REVENUE CODE. THE AUTHORITY, CREATED UNDER FLORIDA STATUTES, IS CONSIDERED A PUBLIC CORPORATION AND IS EXEMPT FROM FLORIDA INCOME TAXES UNDER FLORIDA STATUTE 421 AND FEDERAL INCOME TAXES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. THE AUTHORITY'S BLENDED COMPONENT UNITS FOLLOW THE PROVISIONS OF FASB ASC 740-10-05, ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES - AN INTERPRETATION OF FASB STATEMENT 109, WHICH REQUIRES A TWO-STEP APPROACH TO EVALUATE TAX POSITIONS AND DETERMINE IF THEY SHOULD BE RECOGNIZED IN THE FINANCIAL STATEMENTS. THE TWO-STEP APPROACH INVOLVES RECOGNIZING ANY TAX POSITIONS THAT ARE "MORE LIKELY THAN NOT" TO OCCUR AND THEN MEASURING THOSE POSITIONS TO DETERMINE IF THEY ARE RECOGNIZABLE IN THE FINANCIAL STATEMENTS. MANAGEMENT REGULARLY REVIEWS AND ANALYZES ALL TAX POSITIONS AND HAS DETERMINED NO AGGRESSIVE TAX POSITIONS HAVE BEEN TAKEN. FOR THE YEAR ENDED SEPTEMBER 30, 2014, NO PROVISION OR LIABILITY FOR FEDERAL INCOME TAXES HAS BEEN INCLUDED IN THE FINANCIAL STATEMENTS FOR THE AUTHORITY'S BLENDED COMPONENT UNITS.
