The 990 will then be presented to the executive committee for final approval to file. Following the final approval, copies will be provided to the general board for review.”

This is signed annually by all employees, directors, and officers stating they have received and are free or any conflict. It is the responsibility of directors, officers and management employees to be alert to the potential for conflict of interest and to consult with the ceo of the chamber in instances of uncertainty. Where the ceo determines a conflict of interest exists, the president fo the board will be notified and the issue will be presented to the board for disposition. The board will determine whether a conflict exists and is material, and if material, whether the contemplated transaction may be authorized as just, fair and reasonable by the chamber. The decision of the board on these matters will rest in their sole discretion, and their first concern must be the welfare of the foundation and the advancement of its purpose.”
