Where the executive director determines a conflict of interest exists, the president of the board of directors will be notified and the issue will be presented to the board for disposition. The board will determine whether a conflict exists and is material, and if material, whether the contemplated transaction may be authorized as just, fair and reasonable by the foundation. The decisions of the board on these matters will rest in their sole discretion, and their first concern must be the welfare of the foundation and the advancement of its purpose.”
