Governance Explanations

Form 990, Part VI, Section A, Line 2

- Kelly Burke AWC Treasurer and Kim Crumbo AWC Director were employed by the same nonprofit organization in Flagstaff, Arizona during a portion of FY 2015. Burke is the Executive Director and Crumbo was the Conservation Director at Grand Canyon Wildlands Council GCWC. AWC and GCWC did not have any financial transactions or contractual arrangements with each other during FY 2015. Joel Barnes AWC Secretary and Doug Hulmes AWC Vice President are employed by Prescott College. AWC maintains an annual contract with Prescott College to provide office space for AWCs Wilderness Stewardship program, discussed in Program Service Accomplishments Form 990, p2.

Form 990, Part VI, Section B, Line 11B

- Review of Form 990 Once the draft of Form 990 is completed, it is reviewed in detail by the Executive Director, staff bookkeeper and the Treasurer who is the Executive Director of another Arizona-based nonprofit organization, along with a copy of the preparers detailed workpapers. An electronic copy of the updated draft 990 is then sent to all board members and officers for their review before it is finalized and filed.

Form 990, Part VI, Section B, Line 12C

- Conflict of Interest Policy COI AWC maintains a Conflict of Interest policy. Directors are asked about their potential conflicts on an annual basis which are then documented in the meeting minutes and with the Directors signatures on a statement confirming their receipt and understanding of the policy. Any member with a potential conflict abstains from voting on any related matters.

Form 990, Part VI, Section B, Line 15

Compensation Review The Executive Directors compensation is reviewed and approved annually by the Board of Directors during the fiscal budgeting process. In 2013, the Board of Directors consulted with a TREC Training Resources for the Environmental Community salary survey to determine the annual compensation for the Executive Director, also considering the limitations of AWCs budget. The Board has approved small salary increases the past two years for the Executive Director that have been at or below the national rate of inflation. All staff compensation is reviewed by the Board as part of the annual budgeting process. Officers and directors serve in those capacities as volunteers and are not compensated.

Form 990, Part VI, Section C, Line 19

- Public Records The annual Form 990 and the application for tax-exempt status under IRS Section 501c3 are made available to the public upon request. The 990 is also available at www.guidestar.org. The organizations Articles of Incorporation and annual report to the Arizona Corporations Commission are available to the public at azcc.gov. A summary of the annual financial report is made publicly available through AWCs annual report on its website at azwild.org.

Program Service Expenses 4,502, Grants and allocations 0, Revenue 0 POLICY PLANNING This program addresses diverse public lands natural resource issues facing Arizona, seeking to expand preservation of wilderness areas through revision of major Forest Service and Bureau of Land Management plans, and improve management of existing wilderness and other conservation lands. During the year, AWC participated in multiple conservation collaborations and authored individual comments submitted to agencies on topics including the revision of the San Pedro Riparian National Conservation Area Resource Management Plan the Harquahala Wilderness Management Plan agency action for the Eagletail Mountains Wilderness and a number of additional actions that may affect Arizona wilderness. AWC also worked to counter efforts aimed at transferring federal public lands to state or certain local control, through organizing citizen comments and authoring an editorial published in a newspaper in northwestern Arizona.

Program Service Expenses 30,703, Grants and allocations 0, Revenue 0 CITIZEN WILDERNESS INVENTORY In this fiscal year, AWC began an extensive effort to survey public lands in Arizona for wilderness resources. Major citizen inventories occurred in the 1980s and 1990s, leading to Arizonas two landmark wilderness acts of 1984 and 1990. Since that time, public lands have seen significant change, and current inventories of wilderness-quality lands are critical to informing agencies of wilderness-quality lands that need protection as agencies revise land management plans and propose actions that affect these lands. During the fiscal year, over 300,000 acres of new wilderness-quality lands were identified in northwestern Arizona through the efforts of AWC representatives. The detailed surveys resulting from this work will be submitted formally to land management agencies such as the Bureau of Land Management.

Program Service Expenses 41,640, Grants and allocations 0, Revenue 0 OUTREACH EDUCATION AWC engaged in various outreach and educational efforts over the year to inspire, inform and activate Arizona citizens regarding wilderness issues, this year building extensive focus on the 2014 50th anniversary of the Wilderness Act W50. AWC implemented the Views of the Wild program series including author talks, lectures, workshops and Chautauqua performances, designed to illuminate perspectives on wilderness across time and culture. The series included activities in Tucson, Flagstaff, Phoenix and Prescott, Arizona. Workshops in Phoenix and Tucson focused on multicultural perspectives on wilderness. AWC also was a significant partner in conducting a wilderness experience for the second biennial National Student Congress, held in Phoenix in September 2014. AWC hosted an interactive and fun educational booth for children at the Wild for Wilderness celebration at Sabino Canyon in Tucson, and participated in multiple additional community fairs and festivals. In January 2015, AWC provided a day of wilderness awareness continued below, Schedule O, p2

Stewardship projects removed 400 pounds of trash, improved or maintained 152 miles of trail, and restored or maintained 175 acres of remote backcountry resources on public lands. During the fiscal year, AWC implemented a long-desired expansion of the program to begin working with the Bureau of Land Management in addition to our extensive work with the Forest Service.

Form 990, Part III, Line 1

GENERAL NOTE During the fiscal year, AWC consolidated staff positions to align organizational structure with projected funding and with an increased focus on a smaller number of core programs. AWC eliminated the part-time Conservation Associate position, and we are continuing communications activities on a contract basis. As a result of changing funding from major foundations, AWC has significantly revised its program priorities during the past two years. AWC now places great priority on our Wilderness Stewardship program described above, which is supported by multiple foundation grantors. This program has grown both geographically to encompass the entire state, and to address Bureau of Land Management lands in additon to Forest Service lands. This program expansion increased organizational expenses for travel, field supplies and contracted field services. Additionally, with new restricted foundation funding, AWC saw significant expansion to undertake citizen wilderness inventory projects, increasing our expenses for contract services to implement the field surveys. AWC continues an emphasis on pursuing wilderness preservation through working with agencies to seek administrative protections, a practical and tangible strategy for achieving greater conservation on public lands. As a result of significantly changed foundation funding, AWC has reduced our emphasis on legislative campaigns, while we remain active in a small number of carefully selected legislative campaigns to preserve wilderness.

IRS990/Desc0WILDERNESS STEWARDSHIP PROGRAM This program is dedicated to restoring maintaining conditions in wilderness areas on public lands across Arizona to preserve ecological integrity improve visitor experience in primitive outdoor settings. Arizona has 90 designated wilderness areas agency resources are insufficent to address needs such as trail maintenance, erosion control, removal of invasive species installation of signage, and AWCs Wild Stew program assists public lands management agencies with addressing these needs. AWCs WS program coordinates a pool of over 200 volunteers, recruiting 74 this fiscal year to conduct stewardship projects primarily on lands of the Forest Service Bureau of Land Management, with 16 projects completed in FY 2015. Individual stewards further amplify program capacity, with 65 individuals now trained to complete monitoring in their adopted wilderness areas. Projects were completed in Kendrick Mountain, Munds Mountain, Apache Creek 2, Cedar Bench, West Clear Creek, Mazatzal, Wet Beaver, continued at Schedule O

IRS990/ProgSrvcAccomActy2Grp/Desc0LAND OF LEGENDS CAMPAIGN This campaign is dedicated to facilitating the long-term protection of key mountain ranges in the Sky Island region of southeastern Arizona, one of the most biologically diverse areas in North America. Priority areas of interest include the Whetstone Mountains, Cochise Stronghold Dragoon Mountains, Chiricahua Mountains particularly Ku Chich, or Cochise Head, Tumacacori Highlands and the Upper San Pedro River corridor. There are significant opportunities to preserve the wilderness character of these and other areas through agency action as both the Forest Service and Bureau of Land Management undertake revision of their major land use plans. During the fiscal year, AWC fostered the engagement of volunteer groups and conservation partners to work with these agencies to promote greater conservation management. AWC is working with partners to explore and cultivate support for permanent protection in the region through work with businesses, local residents, recreation user groups and others.

IRS990/ProgSrvcAccomActy3Grp/Desc0SONORAN DESERT HERITAGE CAMPAIGN This program is dedicated to providing lasting protection to the Sonoran Deserts public lands of south-central Arizona. This is a complex landscape-scale vision that incorporates a range of conservation values such as wildlife connectivity, wilderness, open space and scenic beauty, and protection of recreational access - and ensure the logevity of military operations at Luke Air Force Base and the Barry M Goldwater Air Force Range. In June 2015, Rep. Raul Grijalva reintroduced into Congress the Arizona Sonoran Desert Heritage Act. AWCs efforts during the past year focused on maintaining awareness and broadening support for the legislation, through media coverage and editorials. Several of our members letters to the editors were published in major newspapers.

IRS990ScheduleC/SupplementalInformationDetail/ExplanationTxt0- The organizations grassroots lobbying activity during FY 2015 consisted of sending its members electronic communications asking them to support newly introduced wilderness legislation for Arizona. AWC also joined a news release with another conservation partner, noted the legislation in its electronic newsletter and posted several Facebook messages about the legislation.
IRS990ScheduleC/SupplementalInformationDetail/ExplanationTxt1- The organizations direct lobbying activities during FY 2015 included a trip by the Executive Director ED during September 2014 to Washington DC as part of a delegation of conservationists commemorating the 50th anniversary of the Wilderness Act. During that trip, the ED met with three U.S. Representatives or their staff, and with staff of one U.S. Senator. During those visits, the legislative representatives were requested to support legislation that would preserve wilderness and other conservation lands in Arizona.

IRS990ScheduleL/SupplementalInformationDetail/ExplanationTxt0- During FY 2015, Doug Hulmes, AWC Board of Directors Vice President was paid 951 for honoraria and travel reimbursement by Great Old Broads for Wilderness to perform as John Muir at several events commemorating the 50th anniversary of the Wilderness Act. The funding for these payments was provided to Great Old Broads for Wilderness by AWC through a grant received from the Arizona Humanities Foundation. AWC was not involved in establishing the fees or compensation for honoraria or expense reimbursement all negotiations were made between Great Old Broads for Wilderness and Doug Hulmes.
IRS990ScheduleL/SupplementalInformationDetail/ExplanationTxt1- Don Hoffman AWC Director is concurrently serving on the Board of the White Mountain Conservation League WMCL. AWC entered into a contract with WMCL, a 501c3 organization, to establish a wilderness stewardship program in the White Mountains, to monitor conditions in the Escudilla Wilderness, and to develop interpretive facilities for the Green Fire Trail. AWC paid WMCL 2500 to complete these projects, a rate less than what AWC estimated the cost would be for AWC to complete them. WMCL is the only conservation organization doing similar work in this remote region. While AWC Board Director Don Hoffman is also a Board member of WMCL, all contract negotiations were conducted solely between AWCs Executive Director the President of WMCL, with no involvement of Mr. Hoffman.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0Program Service Expenses 4,502, Grants and allocations 0, Revenue 0 POLICY PLANNING This program addresses diverse public lands natural resource issues facing Arizona, seeking to expand preservation of wilderness areas through revision of major Forest Service and Bureau of Land Management plans, and improve management of existing wilderness and other conservation lands.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Program Service Expenses 30,703, Grants and allocations 0, Revenue 0 CITIZEN WILDERNESS INVENTORY In this fiscal year, AWC began an extensive effort to survey public lands in Arizona for wilderness resources.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Program Service Expenses 41,640, Grants and allocations 0, Revenue 0 OUTREACH EDUCATION AWC engaged in various outreach and educational efforts over the year to inspire, inform and activate Arizona citizens regarding wilderness issues, this year building extensive focus on the 2014 50th anniversary of the Wilderness Act W50.

Directors are asked about their potential conflicts on an annual basis which are then documented in the meeting minutes and with the Directors signatures on a statement confirming their receipt and understanding of the policy. Any member with a potential conflict abstains from voting on any related matters.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt9Compensation Review The Executive Directors compensation is reviewed and approved annually by the Board of Directors during the fiscal budgeting process.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt10- Public Records The annual Form 990 and the application for tax-exempt status under IRS Section 501c3 are made available to the public upon request. The 990 is also available at www.guidestar.org. The organizations Articles of Incorporation and annual report to the Arizona Corporations Commission are available to the public at azcc.gov. A summary of the annual financial report is made publicly available through AWCs annual report on its website at azwild.org.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt11GENERAL NOTE During the fiscal year, AWC consolidated staff positions to align organizational structure with projected funding and with an increased focus on a smaller number of core programs.
