Governance Explanations

Form 990, Part VI, Section A, Line 2

Kelly Burke AWC Treasurer, and Interim Executive Director since April 2018 and Kim Crumbo AWC Director were employed during the fiscal year by the nonprofit organization, Wildlands Network in Seattle, WA. Burke is Director of Strategic Partnerships and Crumbo is the Western Conservation Director. AWC and Wildlands Network did not have any financial transactions or contractual arrangements with each other during FY 2018. Joel Barnes AWC Secretary and Doug Hulmes AWC Vice President are employed by Prescott College. AWC maintains an annual contract with Prescott College to provide office space for AWCs Wilderness Stewardship program.

Form 990, Part VI, Section B, Line 11B

- Review of Form 990 Once the draft of Form 990 is completed by an outside accountant, it is reviewed in detail by the Executive Director, staff bookkeeper and the Treasurer who is the Executive Director of another Arizona-based nonprofit organization, along with a copy of the preparers detailed workpapers. An electronic copy of the udpated draft 990 is then sent to all board members and officers for their review before it is finalized and filed.

Form 990, Part VI, Section B, Line 12C

- Conflict of Interest COI Policy The AWC Board of Directors adopted an updated COI policy in June 2016. Directors declared their conflicts at that time. The Directors are asked annually about their potential conflicts which are then documented in meeting minutes and with the Directors signatures on a statement confirming their receipt and understanding of the policy. Any director with a potential conflict abstains from voting on any related matters.

Form 990, Part VI, Section B, Line 15

Compensation Review The Board of Directors reviewed salary information for conservation nonprofits from consulting advisor TREC Training Resources for the Environmental Community to establish a compensation package for the Executive Director during the hiring process in 2013 and 2017 also considering the budget limitations. The Board has approved small salary increases the past three years for the Executive Director that have been at or below the national rate of inflation. All staff compensation is reviewed by the Board as part of the annual budgeting process. Officers and directors serve in those capacities as volunteers and are not compensated. Note that since April 1, 2018, Kelly Burke, AWC Treasurer, has been serving as the Interim Executive Director, and is serving in that capacity as a volunteer. During FY 2018, AWC had hired an incoming Executive Director to work with the current Executive Director as part of the transitional plan. Unfortunately, the current Executive Directors health condition worsened and the incoming Executive Director recognized the need for additional expertise. At the same time, the incoming Executive Director indicated her intention to resign. At that point, the long-time Board Treasurer stepped into the role of the interim Executive Director.

Form 990, Part VI, Section C, Line 19

- Public Records The annual Form 990, conflict of interest policy and the application for tax-exempt status under IRS Section 501c3 are made available to the public upon request. The 990 is also available at www.guidestar.org. The organizations Articles of Incorporation and annual report to the Arizona Corporation Commission are available to the public at www.azcc.gov.

Program Service Accomplishments, continued from 990, p2 POLICY PLANNING Expenses 10,784 This program addresses diverse public lands natural resource issues facing Arizona, seeking to expand preservation of wilderness area through revision of major U.S. Forest Service and BLM plans, and improve management of existing wilderness and other conservation lands. During FY 2018, AWC continued its efforts to defend existing protections for public lands, as many protections of public lands natural resources were diminished in 2018. A large part of this effort focused on facilitating public involvement, with considerable citizen response seen to preserve national monuments, and avert damage to public lands from high-impact uses such as energy extraction and recreational shooting. AWC continued its involvement with the Tonto National Forest Plan Revision, meeting with agency staff, attending public meetings, writing comment letters, facilitating citizen engagement, and working with partners to advocate for robust protection of wild lands and waters.

Form 990, Part III, Line 4D 2

Program Service Accomplishments, continued from 990, p2 OUTREACH EDUCATION Expenses 2839 AWC engaged in various outreach and educational efforts over the year to inspire, inform and activate Arizona citizens regarding wilderness and conservation issues. AWC reached out to audiences through participation in Friends of the Verde River and Friends of Cave Creek Canyon events, and continued highlighting relevant conservation issues through our ENews, website and social media venues.

IRS990/Desc0WILDERNESS STEWARDSHIP PROGRAM aka Wild Stew or WS This program is dedicated to restoring maintaining conditions in wilderness areas on public lands across Arizona to preserve ecological integrity improve visitor experience in primitive outdoor settings. Arizona has 90 designated wilderness areas agency resources are insufficent to address needs such as trail maintenance, erosion control, removal of invasive species installation of signage. AWCs Wild Stew program assists public lands management agencies with addressing these needs. Wild Stew coordinates a corps of nearly 200 volunteers to conduct stewardship projects primarily on lands of the Forest Service Bureau of Land Management, with 14 projects completed with the help of 106 volunteers in FY 2018. Projects were completed in the Chiricahua, Superstition, Kachina Peaks, Woodchute, Four Peaks and Granite Mountain wilderness areas. Stewardship projects improved or maintained 11 miles of trail, installed 30 erosion check dams, removed 29 downed logs obstructing trails and improved three acres of habitat.

IRS990/ProgSrvcAccomActy2Grp/Desc0LAND OF LEGENDS PRESERVATION INITIATIVE During FY 2018, AWC partnered with the BLM to develop a unique outdoor environmental education event for the San Pedro Riparian National Conservation Area SPRNCA, to raise awareness of the important values of the San Pedro River and of national conservation areas in general. The event, Seek the San Pedro, was held on National Public Lands Day in September 2017. Partners included multiple conservation organizations, four federal agencies, local schools, state agencies and other key community interests. Children were bussed in from Palominas Elementary School, and additional families and adults attended. Arizonas rich natural and cultural history was underscored by presentations from two nationally recognized authors, who spoke about Arizonas wild treasures and the role of women and girls in Arizona history.

IRS990/ProgSrvcAccomActy3Grp/Desc0CITIZEN WILDERNESS INVENTORY In this fiscal year, AWC continued an extensive, multi-year effort to survey public lands in Arizona for wilderness resources. Little citizen wilderness inventory had occurred since the 1980s, and since that time, public lands have seen significant change. AWC began intensive wilderness inventory surveys in 2015, and during FY 2018 we completed 15 additional proposals for Lands with Wilderness Characteristics LWC in northwestern southeastern Arizona, bringing the current total to 43 LWC proposals. The proposals were formally presented to the BLM. Current inventories of wilderness-quality lands are critical to informing agencies of wilderness-quality lands that need protection as agencies revise land management plans propose actions that affect these lands.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Program Service Accomplishments, continued from 990, p2 POLICY PLANNING Expenses 10,784 This program addresses diverse public lands natural resource issues facing Arizona, seeking to expand preservation of wilderness area through revision of major U.S.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Program Service Accomplishments, continued from 990, p2 OUTREACH EDUCATION Expenses 2839 AWC engaged in various outreach and educational efforts over the year to inspire, inform and activate Arizona citizens regarding wilderness and conservation issues. AWC reached out to audiences through participation in Friends of the Verde River and Friends of Cave Creek Canyon events, and continued highlighting relevant conservation issues through our ENews, website and social media venues.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3FEES FOR SERVICES-OTHER This line item represents the following expenses Communications consultants 1400 Fieldwork services, including wilderness inventory surveys, restoration crews, and data collection GIS analysis 64,054 program and office support for the Stewardship program 3276 information technology support services 2825 and other 899. Because the organization has only two full-time employees, it relies heavily on the services of outside professionals as well as the labor, skills and talent offered by 106 volunteers totalling at least 1,974 hours during FY 2018. The value of this volunteer labor is not reflected in the financial statements.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4Kelly Burke AWC Treasurer, and Interim Executive Director since April 2018 and Kim Crumbo AWC Director were employed during the fiscal year by the nonprofit organization, Wildlands Network in Seattle, WA.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5- Review of Form 990 Once the draft of Form 990 is completed by an outside accountant, it is reviewed in detail by the Executive Director, staff bookkeeper and the Treasurer who is the Executive Director of another Arizona-based nonprofit organization, along with a copy of the preparers detailed workpapers. An electronic copy of the udpated draft 990 is then sent to all board members and officers for their review before it is finalized and filed.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6- Conflict of Interest COI Policy The AWC Board of Directors adopted an updated COI policy in June 2016. Directors declared their conflicts at that time. The Directors are asked annually about their potential conflicts which are then documented in meeting minutes and with the Directors signatures on a statement confirming their receipt and understanding of the policy. Any director with a potential conflict abstains from voting on any related matters.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt7Compensation Review The Board of Directors reviewed salary information for conservation nonprofits from consulting advisor TREC Training Resources for the Environmental Community to establish a compensation package for the Executive Director during the hiring process in 2013 and 2017 also considering the budget limitations.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt8- Public Records The annual Form 990, conflict of interest policy and the application for tax-exempt status under IRS Section 501c3 are made available to the public upon request. The 990 is also available at www.guidestar.org. The organizations Articles of Incorporation and annual report to the Arizona Corporation Commission are available to the public at www.azcc.gov.
